All services and goods specified in this Purchase Order shall be delivered and performed at the designated facility located in Brasília, Distrito Federal, Brazil. The Chef team shall report to the Brasília Corporate Hospitality Group headquarters at Setor Comercial Sul, Quadra 01, Bloco A, Brasília – DF. All equipment deliveries shall be completed no later than July 15, 2025. The Chef engagement shall commence on August 1, 2025, and continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The supplier, Chef Excellence Culinary Services & Consulting S.A., guarantees that all Chef personnel assigned to this Purchase Order shall hold valid professional certifications recognized by the Brazilian Culinary Association (Associação Brasileira de Gastronomia) and shall comply with all health and safety regulations enforced by the local sanitary authority (Vigilância Sanitária) of Brasília.
- Payment shall be made in Brazilian Reais (BRL) via bank transfer to the account designated by Chef Excellence Culinary Services & Consulting S.A. within thirty (30) calendar days from the date of invoice receipt.
- A 10% advance payment (R$ 131,360.00) is due upon execution of this Purchase Order to secure the Chef team and initiate equipment procurement for delivery to Brasília.
- Monthly service invoices for Chef personnel, ingredient supply, and consulting services shall be submitted by the 5th business day of the following month.
- Late payments shall incur a penalty of 1% per month plus SELIC interest, in accordance with Brazilian commercial law (Código Civil Brasileiro, Art. 412).
- All prices are inclusive of applicable taxes (ICMS, ISS, PIS, COFINS) as regulated for the Distrito Federal of Brasília, Brazil.
- The supplier shall issue a Nota Fiscal Eletrônica (NF-e) for each invoice in compliance with Brazilian tax legislation.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brasília, Distrito Federal.
- The Chef services provided under this Purchase Order are subject to a non-disclosure agreement (NDA) protecting all proprietary recipes, menu designs, and operational methodologies developed during the engagement in Brasília.
- Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Buyer shall compensate the Chef team for services rendered up to the termination date.
- The supplier warrants that all Chef personnel shall maintain valid health clearance certificates and shall undergo biannual medical examinations as required by Brazilian labor law (CLT).
- Any modifications to the scope, quantities, or pricing of this Purchase Order must be documented in a written amendment signed by both parties.
- Force majeure events, including but not limited to natural disasters affecting the Brasília region, shall suspend obligations under this Purchase Order for the duration of the event.
- The supplier shall maintain professional liability insurance with a minimum coverage of R$ 2,000,000.00 for the duration of this Purchase Order, valid throughout the territory of Brazil.
