This Purchase Order is issued by Beijing Imperial Culinary Group Co., Ltd. The Chef engaged under this Purchase Order shall be responsible for the complete culinary operations of the Buyer's flagship restaurant, "Dragon's Table," located in the Haidian District of China Beijing. The Chef shall oversee menu development, kitchen management, staff training, and daily food preparation in full compliance with all applicable food safety regulations enforced by the China Beijing Municipal Food and Drug Administration.
The Chef's engagement under this Purchase Order is specifically tailored to the culinary standards and regulatory environment of China Beijing. The Chef must possess a minimum of ten (10) years of professional experience in fine dining, with demonstrated expertise in both international and Chinese cuisine. The Chef shall be required to reside in China Beijing for the duration of the contract term specified in this Purchase Order and shall comply with all foreign work permit requirements established by the China Beijing Human Resources and Social Security Bureau.

4.1 Delivery and Commencement
The Chef shall commence all duties under this Purchase Order no later than August 1, 2025, at the designated kitchen premises in China Beijing. All onboarding, including local registration with the China Beijing Municipal Public Security Bureau and acquisition of the necessary foreign expert work permit, must be completed prior to the commencement date. The Supplier guarantees that the Chef will be fully operational and present in China Beijing by the stated commencement date.
4.2 Payment Terms
Payment for this Purchase Order shall be made in Chinese Yuan (CNY) via bank transfer to the Supplier's designated account in China Beijing. The Buyer shall remit a 30% advance payment (CNY 412,800.00) within five (5) business days of the Supplier's written acceptance of this Purchase Order. The remaining 70% shall be disbursed in equal monthly installments (CNY 81,066.67 per month) on the first business day of each month, commencing August 2025. All payments are subject to the Chef's satisfactory performance as evaluated by the Buyer's General Manager in China Beijing.
4.3 Regulatory Compliance in China Beijing
The Chef and the Supplier acknowledge and agree that all services rendered under this Purchase Order must strictly adhere to the Food Safety Law of the People's Republic of China, the regulations of the China Beijing Municipal Food and Drug Administration, and all local labor laws applicable to foreign workers in China Beijing. The Chef shall maintain a valid health certificate issued by an authorized medical institution in China Beijing and shall undergo bi-annual health inspections as mandated by China Beijing municipal authorities. Any violation of these regulations shall constitute a material breach of this Purchase Order.
4.4 Intellectual Property and Menu Ownership
All menus, recipes, culinary techniques, and proprietary kitchen processes developed by the Chef during the term of this Purchase Order while operating in China Beijing shall be the exclusive intellectual property of the Buyer. The Chef shall not replicate, disclose, or utilize such materials at any other establishment in China Beijing or internationally without the prior written consent of the Buyer.
4.5 Termination and Cancellation
Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination by the Buyer without cause, the Buyer shall compensate the Supplier for all services rendered up to the termination date plus a one-month retainer. In the event of termination due to the Chef's failure to meet the performance standards outlined in this Purchase Order, no further compensation shall be owed. Termination in China Beijing shall be governed by the Civil Code of the People's Republic of China and applicable labor arbitration procedures in China Beijing.
4.6 Force Majeure
Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Beijing, epidemics, or changes in China Beijing immigration policy that prevent the Chef from legally remaining in the country.

This Purchase Order constitutes a binding procurement agreement between the Buyer and the Supplier for the engagement of a professional Chef in China Beijing. This document is issued in duplicate, with one copy retained by each party. All disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing.
