- Scope of Purchase Order: This Purchase Order governs the procurement, engagement, and ongoing employment of qualified Chef professionals and associated culinary resources for the Shanghai Culinary Excellence Group Co., Ltd. facility located in China Shanghai. All Chef personnel engaged under this Purchase Order shall operate exclusively within the designated kitchen premises in China Shanghai unless prior written authorization is granted by the Purchasing Party.
- Chef Qualifications & Compliance: Every Chef listed in this Purchase Order must possess a minimum of five (5) years of professional culinary experience, valid food handler certifications recognized by the China Shanghai Municipal Food and Drug Administration, and a current or sponsorable work visa for the People's Republic of China. The Supplier guarantees that all Chef candidates meet the competency standards outlined in the attached Appendix A.
- Delivery & Commencement: All Chef personnel shall report to the designated kitchen location in China Shanghai no later than July 1, 2025. Equipment, uniforms, and training materials referenced in this Purchase Order must be delivered to the China Shanghai site no later than June 28, 2025. Late delivery beyond five (5) business days shall incur a penalty of 0.5% of the affected line item value per day.
- Payment Schedule: Payment for this Purchase Order shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon successful onboarding and first month of service by all Chef personnel in China Shanghai, and 20% upon completion of the 12-month contract term. All payments shall be processed via wire transfer to the ICBC account specified above.
- Warranty & Replacement: The Supplier warrants that all Chef professionals engaged under this Purchase Order shall perform to the standards of a Michelin-caliber kitchen operation. In the event a Chef fails to meet performance benchmarks within the first 90 days, the Supplier shall provide a qualified replacement Chef at no additional cost within fifteen (15) business days.
- Confidentiality & IP: All recipes, menu designs, and proprietary culinary techniques developed by the Chef team during the term of this Purchase Order in China Shanghai shall remain the exclusive intellectual property of the Purchasing Party. The Chef personnel are bound by non-disclosure agreements for a period of twenty-four (24) months post-termination.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order related to Chef services in China Shanghai shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in accordance with its rules of procedure.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or international travel restrictions affecting Chef personnel.
- Validity: This Purchase Order is valid for acceptance within ten (10) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void, and the Purchasing Party reserves the right to reissue a revised Purchase Order for Chef services in China Shanghai.
