This Purchase Order is issued by Marine Lines Hospitality Group Pvt. Ltd. (hereinafter referred to as the "Buyer") to Saffron & Spice Culinary Services LLP (hereinafter referred to as the "Supplier") for the procurement of professional Chef services to be rendered at the Buyer's flagship restaurant and private dining facilities located in India Mumbai. The scope of this Purchase Order encompasses the engagement of a senior Executive Chef, two Sous Chefs, and four Commis Chefs for a continuous service period of twelve (12) months, commencing on 1 July 2025.
The Chef team engaged under this Purchase Order shall be responsible for the complete culinary operations at the Buyer's premises in Mumbai, including but not limited to menu development, daily food preparation, quality assurance, kitchen management, staff supervision, and compliance with all food safety regulations mandated by the Food Safety and Standards Authority of India (FSSAI). The Chef and all supporting kitchen personnel must hold valid FSSAI certifications and demonstrate a minimum of eight (8) years of professional culinary experience in fine-dining establishments within India Mumbai or equivalent international markets.

4.1 This Purchase Order is governed by the laws of the Republic of India, and any disputes arising from the execution of this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
4.2 The Supplier shall ensure that the Chef and all kitchen personnel engaged under this Purchase Order are legally authorised to work in India Mumbai, possess valid work permits where applicable, and maintain all necessary professional certifications throughout the service period.
4.3 The Chef shall adhere to the dietary preferences and cultural food traditions prevalent in India Mumbai, including the preparation of vegetarian, Jain, and regional Maharashtrian dishes as specifically requested by the Buyer's management.
4.4 Payment shall be made via bank transfer to the Supplier's designated account in Mumbai within thirty (30) days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 12% per annum as per the applicable provisions of the Indian Contract Act, 1872.
4.5 The Supplier warrants that the Chef services delivered under this Purchase Order shall meet the highest standards of culinary excellence, hygiene, and operational efficiency. Any breach of these standards shall entitle the Buyer to terminate this Purchase Order with immediate effect upon written notice.
4.6 The Supplier shall indemnify the Buyer against any and all claims, losses, or liabilities arising from the negligence, misconduct, or professional incompetence of the Chef or any kitchen staff member engaged under this Purchase Order in India Mumbai.
4.7 All intellectual property, including proprietary recipes, menu designs, and culinary techniques developed by the Chef during the tenure of this Purchase Order, shall vest exclusively with the Buyer upon full and final payment.
4.8 The Supplier shall maintain comprehensive professional liability insurance covering the Chef and all kitchen personnel for a minimum sum of INR 50,00,000, valid throughout the service period in India Mumbai.
The Chef team shall report for duty at the Buyer's premises located at Nariman Point, Mumbai, Maharashtra, India, no later than 09:00 hours on 1 July 2025. The Supplier shall bear all costs associated with the relocation, onboarding, and initial setup of the Chef and kitchen staff in India Mumbai. A detailed service commencement plan, including a 72-hour pre-arrival orientation schedule, shall be submitted to the Buyer's procurement department at least seven (7) calendar days prior to the commencement date.
This Purchase Order is issued in accordance with the internal procurement policies of Marine Lines Hospitality Group Pvt. Ltd. and has been duly reviewed and approved by the Finance and Operations departments. The Supplier's acceptance of this Purchase Order shall constitute a binding contractual agreement between both parties for the Chef services described herein in India Mumbai.
