2. Description of Goods and Services

This Purchase Order is issued by Grand Persian Hospitality Group for the engagement of a qualified and experienced Chef to provide full-time culinary leadership services at the purchaser's flagship restaurant and catering facility located in Iran Tehran. The Chef shall be responsible for menu development, kitchen operations management, staff supervision, quality assurance, and the preparation of both traditional Persian cuisine and international dishes in accordance with the operational standards established by the purchaser.

The Chef engaged under this Purchase Order must hold a minimum of ten (10) years of professional culinary experience, possess a recognized international culinary certification, and demonstrate a thorough understanding of food safety regulations applicable in Iran Tehran. The Chef shall also be required to adapt recipes and presentations to align with local dietary customs, halal certification requirements, and the cultural expectations of patrons in the Iran Tehran metropolitan area.

4. Terms and Conditions
  1. Commencement: The Chef shall report for duty at the designated facility in Iran Tehran no later than 1 August 2025. All onboarding, orientation, and kitchen familiarization activities shall be completed within the first fourteen (14) calendar days of arrival.
  2. Payment Schedule: Payment for this Purchase Order shall be made in three (3) equal installments. The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due upon the Chef's confirmed arrival and commencement of duties in Iran Tehran. The final installment (33.34%) is due upon successful completion of the six-month performance review.
  3. Currency and Banking: All payments under this Purchase Order shall be denominated in United States Dollars (USD) and remitted via international wire transfer to the supplier's designated account. The purchaser shall bear all applicable banking and intermediary fees. Compliance with all Iranian Central Bank foreign exchange regulations and sanctions-related compliance requirements shall be observed by both parties.
  4. Work Authorization: The supplier shall ensure that the Chef holds all necessary work permits, residency visas, and professional licenses required to legally perform culinary services in Iran Tehran. The purchaser shall provide all employer-side documentation and sponsorship letters as required by the Iranian Ministry of Labor and Social Affairs.
  5. Performance Standards: The Chef shall maintain a minimum customer satisfaction rating of 90% as measured by the purchaser's internal quality assurance program. Failure to meet this standard for two consecutive months shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
  6. Intellectual Property: All proprietary recipes, menu designs, and culinary techniques developed by the Chef during the term of this Purchase Order while operating in Iran Tehran shall remain the exclusive intellectual property of Grand Persian Hospitality Group.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the purchaser shall pay for all services rendered up to the effective date of termination, less any applicable deductions.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Islamic Republic of Iran, with particular reference to the Civil Code provisions applicable to service contracts in Tehran. Any disputes arising from this Purchase Order shall be resolved through arbitration in Iran Tehran in accordance with the rules of the Tehran International Arbitration Center.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Iran Tehran, or international trade disruptions.
5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Chef engagement in Iran Tehran. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
