1. Purpose of This Purchase OrderThis Purchase Order is issued by Almaty Hospitality Group LLP to formally procure the professional services of a senior Chef and associated culinary support staff for the operation of our flagship restaurant, Almaty Grand Kitchen, located in the heart of Kazakhstan Almaty. This Purchase Order governs the engagement, compensation, deliverables, and operational terms under which the Chef and supporting personnel will render their services. All parties acknowledge that this Purchase Order constitutes a binding agreement in accordance with the Civil Code of the Republic of Kazakhstan and applicable labor regulations of Kazakhstan Almaty.
2. Scope of Services – Chef EngagementThe primary subject of this Purchase Order is the recruitment, placement, and ongoing management of a qualified Chef (Executive Chef level) along with a team of four (4) sous chefs and kitchen assistants. The Chef shall be responsible for menu development, kitchen operations, food safety compliance, staff training, and quality control at all locations within Kazakhstan Almaty. The Chef must hold a minimum of ten (10) years of professional culinary experience, a recognized international culinary certification, and demonstrated expertise in both Central Asian and European cuisine traditions. The vendor, Culinary Excellence Kazakhstan LLP, guarantees that the Chef and all supporting staff will possess valid work permits and residency documentation required for employment in Kazakhstan Almaty.

4. Payment Terms
4.1. Payment shall be made in Tenge (KZT) via bank transfer to the vendor's designated account in Kazakhstan Almaty. The bank details are as follows: ICB "Jusan Bank", BIC: JUSAKZKA, Account: KZ88 9910 0000 1234 5678.
4.2. A 30% advance payment (38,834,880 KZT) is due within five (5) business days of the acceptance of this Purchase Order.
4.3. The remaining 70% shall be disbursed in equal monthly installments (10,620,800 KZT per month) within ten (10) business days following the end of each calendar month, subject to satisfactory performance review of the Chef and kitchen team.
4.4. All payments are subject to a 12% Value Added Tax (VAT) as mandated by the Tax Code of the Republic of Kazakhstan.
5. Delivery and Commencement
5.1. The Chef and all supporting kitchen personnel shall report for duty at the Almaty Grand Kitchen premises, 142 Abai Avenue, Kazakhstan Almaty, no later than 01 July 2025 at 08:00 local time.
5.2. Kitchen equipment procurement and installation (Line Item 4) must be completed and inspected no later than 28 June 2025. The vendor shall provide a written installation certificate signed by a certified technician registered in Kazakhstan Almaty.
5.3. The Chef shall submit a comprehensive 12-month operational plan, including menu calendars, staffing schedules, and procurement forecasts, within the first fourteen (14) days of commencement.
6. Terms and Conditions
6.1. This Purchase Order is governed by the laws of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through the Almaty City Arbitration Court in Kazakhstan Almaty.
6.2. The vendor warrants that the Chef and all personnel engaged under this Purchase Order are free from any conflicting contractual obligations and possess all necessary qualifications, certifications, and legal work authorizations for employment in Kazakhstan Almaty.
6.3. Almaty Hospitality Group LLP reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, consistent underperformance by the Chef, or failure to maintain food safety standards as defined by Kazakhstan Almaty municipal health regulations.
6.4. The Chef shall comply with all local labor laws, health and safety regulations, and cultural norms applicable in Kazakhstan Almaty. Working hours, rest periods, and overtime compensation shall adhere to the Labor Code of the Republic of Kazakhstan.
6.5. All intellectual property, including proprietary recipes, menu designs, and operational methodologies developed by the Chef during the term of this Purchase Order, shall remain the exclusive property of Almaty Hospitality Group LLP.
6.6. The vendor shall maintain comprehensive professional liability and workers' compensation insurance covering all personnel engaged under this Purchase Order throughout the contract term in Kazakhstan Almaty.
7. Acceptance and AuthorizationBy signing below, both parties confirm their full understanding and acceptance of all terms, conditions, and obligations set forth in this Purchase Order. This Purchase Order becomes effective upon the signature of both authorized representatives.
