This Purchase Order is issued by Restaurante Miraflores Gourmet S.A.C., a distinguished fine-dining establishment located in the heart of Peru Lima, to formally request the professional services of Chef Alejandro Vargas Quispe and his culinary team. 5.1 Scope of Services: The Chef and culinary team engaged under this Purchase Order shall provide all services exclusively at the premises of Restaurante Miraflores Gourmet S.A.C. located in Miraflores, Lima, Peru. The Chef shall dedicate a minimum of six (6) working days per week, with a standard schedule of 10 hours per day, subject to the operational needs of the restaurant in Peru Lima.
5.2 Payment Terms: Payment for this Purchase Order shall be made in monthly installments via bank transfer to the supplier's account in Peru. Each monthly invoice shall be due within fifteen (15) calendar days from the date of receipt. The total Purchase Order value of PEN 757,914.00 (Seven Hundred Fifty-Seven Thousand Nine Hundred Fourteen Peruvian Soles) shall be disbursed over the twelve-month contract period as detailed in the line items above.
5.3 Delivery and Commencement: All services and equipment referenced in this Purchase Order shall be delivered and made available no later than February 28, 2025, at the restaurant's kitchen facilities in Lima, Peru. The Chef and team shall report for duty on March 1, 2025, at 07:00 hours Peruvian time (PET, UTC-5).
5.4 Quality Standards: The Chef shall ensure that all culinary output meets the standards established by the Peruvian Ministry of Health (DIGESA) and the Lima Metropolitan Municipality's food service regulations. All ingredients procured under this Purchase Order must comply with Peruvian food safety and import regulations where applicable.
5.5 Cancellation and Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of early termination, the Buyer shall be liable for all services rendered up to the termination date plus a penalty of 10% of the remaining contract value. The Chef shall return all equipment and materials procured under this Purchase Order to the Buyer's premises in Lima, Peru.
5.6 Intellectual Property: All menus, recipes, and culinary concepts developed by the Chef specifically for this Purchase Order engagement in Peru Lima shall become the exclusive property of Restaurante Miraflores Gourmet S.A.C. upon full payment of the Purchase Order balance.
5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Peru. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Lima, Peru, or through arbitration at the Lima Chamber of Commerce if both parties agree.
5.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates affecting food service in Peru Lima, or public health emergencies.
6. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. The Buyer confirms that the Purchase Order has been reviewed and approved by the General Manager and the Finance Department of Restaurante Miraflores Gourmet S.A.C. The Supplier confirms that the Chef and culinary team are available and qualified to fulfill all obligations described herein for the duration of the contract in Peru Lima.
