This Purchase Order is issued by Cape Town Hospitality Group (Pty) Ltd (hereinafter referred to as the Buyer) to Atlantic Culinary Talent Solutions (Pty) Ltd (hereinafter referred to as the Supplier) for the procurement, placement, and ongoing management of a qualified Chef to be stationed at the Buyer's flagship restaurant premises located in the V&A Waterfront, Cape Town, South Africa. This Purchase Order governs all terms, conditions, deliverables, and financial obligations related to the engagement of the Chef and associated culinary services as detailed herein.
The Buyer requires the Supplier to identify, vet, and place a senior-level Chef who possesses a minimum of ten (10) years of professional culinary experience, a recognized qualification from a South African culinary institution (such as the Cape Town College of Culinary Arts or equivalent), and demonstrable expertise in contemporary South African cuisine, Mediterranean fusion, and fine-dining plating techniques. The Chef must be legally permitted to work in South Africa and hold a valid South African work permit or permanent residency status.

4.1 Payment Terms
Payment for this Purchase Order shall be made in accordance with the following schedule: a deposit of twenty-five percent (25%) of the total Purchase Order value is due within seven (7) business days of acceptance. The monthly retainer (Item 02) shall be invoiced on the first business day of each month and is payable within thirty (30) days of invoice receipt. All payments shall be made via electronic funds transfer (EFT) to the Supplier's designated bank account in South Africa. Late payments shall attract interest at the rate of 1.5% per month as stipulated under the South African National Credit Act.
4.2 Commencement and Duration
The Chef placement under this Purchase Order shall commence no later than 1 August 2025 at the Buyer's premises in the V&A Waterfront, Cape Town, South Africa. The initial contract term is twelve (12) months, with an option to renew for a further twelve (12) months subject to mutual written agreement and satisfactory performance review of the Chef.
4.3 Chef Obligations and Standards
The Chef engaged under this Purchase Order shall adhere to all South African food safety regulations as governed by the Department of Health, comply with the Cape Town municipal by-laws regarding food preparation and handling, and maintain a valid food handler's certificate. The Chef shall work a minimum of forty-eight (48) hours per week, including weekend and public holiday shifts as required by the restaurant's operating schedule in Cape Town. The Chef shall report directly to the Buyer's General Manager and shall be subject to the Buyer's internal policies and code of conduct.
4.4 Supplier Obligations
The Supplier warrants that the Chef placed under this Purchase Order meets all stated qualifications and experience requirements. The Supplier shall remain the legal employer of the Chef for the duration of the engagement and shall be responsible for all statutory employer contributions, including UIF, PAYE, and any applicable sectoral determinants under South African labour law. The Supplier shall provide a replacement Chef within fourteen (14) calendar days should the original placement become untenable.
4.5 Confidentiality and Non-Compete
The Chef shall be bound by a non-disclosure agreement covering all proprietary recipes, supplier relationships, and operational strategies of the Buyer. Upon termination of the Purchase Order engagement, the Chef shall observe a non-compete period of six (6) months within a twenty-five-kilometre radius of the Buyer's Cape Town, South Africa premises.
4.6 Governing Law and Dispute Resolution
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall first be subject to mediation in Cape Town, South Africa, and failing resolution within thirty (30) days, shall be referred to arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA) in Cape Town.
4.7 Cancellation
Either party may cancel this Purchase Order with thirty (30) days' written notice. In the event of cancellation by the Buyer after the Chef has been placed, the Buyer shall be liable for the remaining retainer fees for the current calendar month only. Cancellation by the Supplier without cause shall entitle the Buyer to a full refund of all prepaid amounts.
This Purchase Order becomes binding upon signature by both parties. The Buyer acknowledges that this Purchase Order constitutes a formal request for the Chef services described herein and that acceptance by the Supplier constitutes a binding contractual agreement under South African law.

This Purchase Order (PO-CT-2025-04872) is valid for thirty (30) days from the date of issue. All references to Cape Town, South Africa in this document pertain to the City and District Municipality of Cape Town, Western Cape Province, Republic of South Africa.
