- This Purchase Order constitutes a binding agreement between Al Noor Hospitality Group LLC (hereinafter "Buyer") and Global Culinary Talent Solutions FZ-LLC (hereinafter "Supplier") for the procurement and placement of qualified Chef professionals in Abu Dhabi, United Arab Emirates.
- The Supplier shall ensure that all Chef candidates possess a minimum of five (5) years of professional culinary experience, valid food handler certifications recognized by the Abu Dhabi Municipality, and the ability to work in a multicultural kitchen environment.
- All Chef personnel shall be subject to a comprehensive medical fitness examination conducted at an MOHRE-approved medical center in Abu Dhabi prior to the commencement of duties. The Supplier bears full responsibility for visa sponsorship, labor card issuance, and Emirates ID registration in accordance with UAE federal and Abu Dhabi emirate-level labor laws.
- The Buyer reserves the right to reject any Chef candidate who fails to meet the culinary standards, behavioral expectations, or regulatory compliance requirements outlined in this Purchase Order. In such cases, the Supplier shall provide a replacement within fourteen (14) calendar days at no additional cost.
- Payment shall be processed via bank transfer to the Supplier's designated corporate account in Abu Dhabi within thirty (30) days of receipt of a valid tax invoice. Late payments shall incur a penalty of 1.5% per month as per UAE commercial transaction regulations.
- The Supplier guarantees that all Chef services rendered shall comply with the UAE Federal Food Safety Law, Abu Dhabi Municipality food hygiene regulations, and the requirements of the Emirates Quality Mark (EQM) where applicable.
- Either party may terminate this Purchase Order with a written notice of ninety (90) days. Upon termination, the Supplier shall facilitate the repatriation of all Chef personnel in full compliance with UAE labor law, including final settlement of wages, end-of-service benefits, and return airfare.
- All disputes arising from this Purchase Order shall be resolved through arbitration in Abu Dhabi under the rules of the Abu Dhabi Global Market (ADGM) Arbitration Centre. The governing law shall be the laws of the United Arab Emirates.
- The Supplier shall maintain professional indemnity and employer's liability insurance with a minimum coverage of AED 5,000,000 for the duration of this Purchase Order, valid within the jurisdiction of Abu Dhabi, UAE.
- This Purchase Order is subject to the UAE Federal Decree-Law No. 47 of 2022 on the Protection of Personal Data. All personal data of the Chef personnel shall be processed in accordance with this law and the Abu Dhabi Data Protection regulations.

Notes: This Purchase Order is issued in accordance with the procurement policies of Al Noor Hospitality Group LLC and the commercial regulations of the United Arab Emirates. All Chef services described herein are to be performed exclusively within the emirate of Abu Dhabi. The Supplier acknowledges that this document, once signed by both parties, constitutes a legally enforceable Purchase Order under UAE civil and commercial law. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. This document is valid only in the English language. In the event of any discrepancy, the English version shall prevail.
