This Purchase Order governs the engagement of a qualified Head Chef and a team of sous Chef personnel to be deployed at the Buyer's flagship restaurant premises located in United Kingdom Manchester, specifically at 142 Deansgate, Manchester, M3 2ER. The scope of this Purchase Order encompasses the recruitment, onboarding, and ongoing provision of Chef personnel for a period of twelve (12) months, commencing on 01 July 2025 and concluding on 30 June 2026, unless otherwise extended by mutual written agreement between the parties.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from this Purchase Order relating to the Chef services in United Kingdom Manchester shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
2. Payment Schedule: Payment shall be made in monthly instalments of £29,490.00 (excl. VAT) within thirty (30) calendar days of receipt of a valid invoice from the Supplier. 3. Chef Qualifications and Standards: The Head Chef must hold a minimum of five (5) years of professional culinary experience, a Level 3 or above qualification in Professional Cookery, and a valid HACCP Level 3 certificate. All Sous Chefs must hold a minimum of three (3) years of experience. All Chef personnel must possess valid right-to-work documentation for the United Kingdom and must be available for immediate deployment in Manchester.
4. Working Hours and Location: All Chef personnel engaged under this Purchase Order shall be based at the Buyer's premises at 142 Deansgate, Manchester, M3 2ER, United Kingdom Manchester. Standard working hours shall be 48 hours per week for the Head Chef and Sous Chefs, and 40 hours per week for Commis Chefs, in accordance with the Working Time Regulations 1998 (as amended) applicable in the United Kingdom.
5. Termination: Either party may terminate this Purchase Order with a written notice of ninety (90) days. In the event of material breach by the Supplier, including but not limited to the failure to provide a qualified Chef or the Chef's failure to meet the agreed performance standards, the Buyer may terminate this Purchase Order with fourteen (14) days' written notice.
6. Insurance and Liability: The Supplier shall maintain comprehensive public liability insurance of no less than £5,000,000 and employer's liability insurance of no less than £10,000,000 for all Chef personnel engaged under this Purchase Order while operating in United Kingdom Manchester.
7. Confidentiality: All Chef personnel shall be bound by strict confidentiality obligations regarding the Buyer's proprietary recipes, menu designs, supplier relationships, and business operations conducted in Manchester, United Kingdom. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
8. Health and Safety Compliance: The Supplier shall ensure that all Chef personnel comply with all applicable United Kingdom health and safety legislation, including the Health and Safety at Work etc. Act 1974, the Food Safety and Hygiene Regulations 2013, and all local authority requirements applicable to food service establishments in Manchester, United Kingdom.
9. Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure results from circumstances beyond its reasonable control, including but not limited to acts of God, government restrictions, or public health emergencies affecting operations in United Kingdom Manchester.
10. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be subject to mediation. If mediation fails, the dispute shall be referred to arbitration in Manchester, United Kingdom, in accordance with the rules of the London Court of International Arbitration (LCIA).

This Purchase Order constitutes a binding offer by the Buyer to the Supplier for the provision of Chef services and associated goods as described herein. The Supplier's acceptance of this Purchase Order shall be evidenced by the return of a signed copy of this document to the Buyer within five (5) business days of the date of issue.
