3.1 Scope of Engagement: This Purchase Order authorizes the procurement of professional Chef services as detailed in Section 2. The Chef shall perform all duties at the premises of Restaurante La Cumbre del Ávila, located in the municipality of Chacao, Venezuela Caracas. The Chef is expected to adhere to all food safety regulations established by the Instituto Nacional de Salud (INS) of Venezuela and the municipal health authority of Venezuela Caracas.

3.2 Commencement and Duration: Services shall commence on July 1, 2025, and shall continue for a period of twelve (12) months, concluding on June 30, 2026, unless terminated earlier in accordance with the provisions herein. The Chef shall be available for a minimum of forty-eight (48) working hours per week, including weekend and holiday shifts as required by the restaurant's operating schedule in Venezuela Caracas.

3.3 Payment Terms: Payment shall be made in United States Dollars (USD) via bank transfer to the account designated by the Chef. Monthly invoices shall be submitted by the fifth (5th) business day of each month for services rendered in the preceding month. Payment shall be processed within fifteen (15) business days of invoice receipt. All payments are subject to applicable Venezuelan tax withholdings as mandated by the Servicio Nacional Integrado de Administración Aduanera y Tributaria (SENIAT) of Venezuela.

3.4 Performance Standards: The Chef shall maintain a minimum customer satisfaction rating of 85% as measured by quarterly surveys conducted by the restaurant management. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.

3.5 Intellectual Property: All menus, recipes, and culinary concepts developed by the Chef specifically for Restaurante La Cumbre del Ávila during the term of this Purchase Order shall remain the exclusive property of the restaurant. The Chef retains the right to use pre-existing personal recipes and techniques not specifically created for this engagement.

3.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, all outstanding invoices for services already rendered shall be settled within thirty (30) days.

3.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela, including the Venezuelan Civil Code and applicable labor regulations. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.

3.8 Confidentiality: The Chef agrees to maintain strict confidentiality regarding all proprietary information, supplier relationships, financial data, and operational strategies of Restaurante La Cumbre del Ávila. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.

All Chef services shall be delivered at the restaurant premises in Venezuela Caracas. Acceptance of services shall be confirmed in writing by the Director of Operations within five (5) business days of the completion of each service milestone. In the absence of written objection within this period, services shall be deemed accepted. The Chef shall submit a monthly performance report to the General Manager detailing menu items prepared, staff training hours completed, inventory utilization, and any recommendations for kitchen improvements specific to the Venezuela Caracas location.
