This Purchase Order is issued by Sonatrach Industrial Services S.A.R.L., headquartered in Algeria Algiers, to formally engage the services of a qualified Chemical Engineer for the duration of the project specified herein. The Chemical Engineer shall provide comprehensive professional services related to process design, safety assessment, and operational optimization for the Skikda Refinery Expansion Phase II. All deliverables, reports, and on-site consultations shall be conducted in accordance with Algerian industrial regulations, the Algerian Labor Code, and international chemical engineering standards as recognized by the Algerian Ministry of Energy and Mines.
The Chemical Engineer engaged under this Purchase Order shall be responsible for the following core activities: conducting a full audit of existing chemical processing units; designing and validating new reactor systems for hydrocarbon conversion; performing hazard and operability (HAZOP) studies; preparing technical documentation in both Arabic and French as required by Algerian regulatory authorities; and providing on-site supervision during the commissioning phase. The primary coordination and administrative work shall be carried out from the Chemical Engineer's registered office in Algeria Algiers, with periodic field deployments to the Skikda site.

3. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between the Buyer and the Chemical Engineer for the services described herein. Both parties acknowledge that this transaction is governed by the laws of the People's Democratic Republic of Algeria, including the Algerian Commercial Code and applicable industrial safety regulations.
- The Chemical Engineer shall maintain valid professional licensure issued by the Algerian Order of Engineers (Ordre National des Ingénieurs) throughout the entire contract period. Any lapse in licensure shall constitute grounds for immediate termination of this Purchase Order.
- All work products, reports, and intellectual property generated under this Purchase Order shall become the exclusive property of Sonatrach Industrial Services S.A.R.L. upon full payment. The Chemical Engineer shall not reproduce, distribute, or reference such materials without written consent.
- The Chemical Engineer shall comply with all health, safety, and environmental (HSE) protocols established by the Algerian Ministry of Energy and Mines. Failure to adhere to safety standards at the Skikda site or the Algeria Algiers office shall result in a penalty of 5% of the affected line item value.
- Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice and acceptance of the corresponding deliverable. Late payments shall accrue interest at the rate set by the Central Bank of Algeria (BNA).
- The Chemical Engineer shall submit a detailed progress report to the Buyer's project management office in Algeria Algiers on the last working day of each month. Failure to submit reports for two consecutive months shall entitle the Buyer to suspend payment obligations.
- Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or civil unrest within Algeria, shall excuse timely performance. The affected party must notify the other in writing within 48 hours of the event's occurrence.
- Disputes arising from this Purchase Order shall first be subject to mediation in Algiers, Algeria. If mediation fails within sixty (60) days, the matter shall be referred to the competent commercial court in Algiers, Algeria.
- This Purchase Order is valid for a period of eighteen (18) months from the date of issue, unless terminated earlier by mutual written agreement or as specified in the termination clauses of the master service agreement.
