This Purchase Order is issued to formally engage the services of a qualified Chemical Engineer to perform comprehensive process design, safety assessment, and regulatory compliance consulting for the expansion of our petrochemical processing facility located in the industrial zone of Brazil Brasília, Federal District. The Chemical Engineer shall be responsible for the following deliverables:

Payment for this Purchase Order shall be made in three (3) installments via bank transfer (TED/PIX) to the Chemical Engineer's designated account in Brazil. The first installment of 40% (R$ 26,800.00) shall be due upon formal acceptance of this Purchase Order and commencement of work in Brasília. The second installment of 35% (R$ 23,450.00) shall be due upon delivery and approval of the HAZOP study and equipment specifications. The final installment of 25% (R$ 16,750.00) shall be due upon completion of on-site commissioning in Brasília and submission of the final technical report. All payments are subject to the receipt of a valid Nota Fiscal (Brazilian tax invoice) issued in accordance with the Federal District tax regulations. Late payments shall accrue interest at the rate of 1% per month plus the Selic index as established by the Central Bank of Brazil.
5.1. The Chemical Engineer shall perform all services in strict compliance with the professional code of ethics established by the Conselho Federal de Engenharia e Agronomia (CONFEA) and the Conselho Regional de Engenharia e Agronomia do Distrito Federal (CREA-DF), as the work is to be executed within the jurisdiction of Brazil Brasília.
5.2. The Chemical Engineer warrants that all process designs, calculations, and safety assessments delivered under this Purchase Order shall meet or exceed the standards set by the American Society of Mechanical Engineers (ASME), the Brazilian Association of Technical Standards (ABNT), and all applicable Federal District of Brasília municipal and state regulations.
5.3. The Chemical Engineer shall maintain full professional liability insurance (Seguro de Responsabilidade Civil Profissional) with a minimum coverage of R$ 500,000.00 for the entire duration of the engagement in Brasília.
5.4. All intellectual property, process designs, and technical documentation produced under this Purchase Order shall become the exclusive property of Vetor Industrial Processos Químicos S.A. upon full payment.
5.5. The Chemical Engineer shall comply with all occupational health and safety (OHS) protocols at the Brasília facility, including but not limited to the use of appropriate personal protective equipment (PPE) when handling chemical substances on-site.
5.6. This Purchase Order is governed by the laws of the Federative Republic of Brazil, and any disputes arising from its execution shall be subject to the exclusive jurisdiction of the courts of Brasília, Federal District.
5.7. The Chemical Engineer shall not subcontract any portion of the services described herein without prior written consent from the Purchasing Entity.
Work under this Purchase Order shall commence on 01 July 2025 at the Vetor Industrial facility in the industrial sector of Brasília, Federal District, Brazil. The total project duration is estimated at 145 calendar days, with a projected completion date of 23 November 2025. The Chemical Engineer shall submit a detailed project schedule within five (5) business days of the commencement date. All deliverables shall be submitted in both Portuguese and English to facilitate regulatory filings with Brasília municipal authorities and international stakeholders.
