5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Chemical Engineer professional services within the jurisdiction of Canada Montreal, Quebec, Canada. All work shall be performed in accordance with the standards established by the Order of Engineers of Quebec and applicable federal Canadian regulations.
5.2 The Chemical Engineer engaged under this Purchase Order shall maintain valid professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence throughout the duration of the engagement in Canada Montreal.
5.3 Payment terms: Net 30 days from the date of invoice submission. Invoices shall be submitted bi-weekly upon completion of each milestone as outlined in Section 4. All payments shall be made via electronic funds transfer (EFT) to the Seller's designated bank account in Canada Montreal.
5.4 The Seller warrants that the Chemical Engineer assigned to this Purchase Order holds a valid P.Eng. designation from the Order of Engineers of Quebec and possesses a minimum of ten (10) years of experience in petrochemical process engineering within the Canada Montreal region or equivalent Canadian industrial settings.
5.5 All deliverables, including but not limited to HAZOP reports, design calculations, environmental impact assessments, and final technical documentation, shall be the exclusive property of the Buyer upon full payment under this Purchase Order. The Chemical Engineer shall not reuse, reproduce, or disclose any proprietary process data obtained during the engagement in Canada Montreal without prior written consent.
5.6 In the event of non-performance or material breach by the Seller, the Buyer reserves the right to terminate this Purchase Order with fourteen (14) days written notice. Any work completed prior to termination shall be invoiced at the rates specified herein.
5.7 This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the federal laws of Canada. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal, Quebec, in accordance with the rules of the Quebec Arbitration Association.
5.8 The Chemical Engineer shall comply with all workplace safety regulations as mandated by the Quebec Occupational Health and Safety Act (CSST) while on-site at the Canada Montreal facility. The Buyer shall provide all necessary personal protective equipment (PPE) and site access credentials.
The Chemical Engineer shall commence work on or before June 23, 2025, at the Buyer's facility in Canada Montreal. The full scope of services under this Purchase Order shall be completed no later than September 12, 2025. All final deliverables shall be submitted to the Buyer's Director of Engineering Procurement in both digital (PDF) and hard-copy format at the Canada Montreal office address listed in Section 1.
