This Purchase Order is issued by Andina Petrochemical Solutions S.A.S. to procure the professional services of a qualified Chemical Engineer to be deployed at our industrial facility in Bogotá, Colombia. The Chemical Engineer shall be responsible for process optimization, safety compliance, environmental impact assessment, and technical supervision of chemical production lines in accordance with Colombian regulatory standards (Resolución 1052 de 2000, Decreto 1073 de 2015, and applicable norms from the Superintendencia de Industria y Comercio).

All payments under this Purchase Order shall be made in Colombian Pesos (COP) via bank transfer to the account designated by IQP Ltda. Payment schedule is as follows:

• 30% advance payment upon acceptance of this Purchase Order (due within 10 business days of issue date).
• 40% upon completion and acceptance of deliverables for Items 01 through 06.
• 30% upon successful completion of the 6-month consultancy retainer (Item 08) and final sign-off by the Plant Operations Manager in Bogotá.

Late payments shall accrue interest at the rate established by the Banco de la República de Colombia for overdue commercial obligations. All invoices must reference this Purchase Order number (AP-2025-04782) and include the vendor's NIT for tax compliance under Colombian law.

1. Professional Qualification: The Chemical Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Chemical Engineering (Ingeniería Química) from a university accredited by the Ministerio de Educación Nacional de Colombia, and must possess a valid professional registration. A minimum of five (5) years of post-graduate experience in petrochemical or industrial chemical processes is required.
2. Work Location: All on-site services shall be performed at the Andina Petrochemical Solutions facility in Bogotá D.C., Colombia, or at the Parque Industrial de Bogotá site as specified. The Chemical Engineer shall comply with all site safety protocols and Colombian occupational health and safety regulations (Ley 297 de 1996).
3. Confidentiality: The Chemical Engineer and IQP Ltda. agree to maintain strict confidentiality regarding all proprietary process data, formulations, and operational information encountered during the execution of this Purchase Order in Colombia. This obligation survives termination for a period of five (5) years.
4. Compliance with Colombian Law: All services rendered under this Purchase Order shall comply with applicable Colombian legislation, including but not limited to the Colombian Commercial Code, the Tax Statute (Estatuto Tributario), and environmental regulations enforced by the Corporación Autónoma Regional de Cundinamarca (CAR) and the local environmental authority of Bogotá (Autoridad Ambiental Distrital).
5. Intellectual Property: All reports, designs, simulations, and technical documentation produced by the Chemical Engineer specifically for this Purchase Order shall become the exclusive property of Andina Petrochemical Solutions S.A.S. upon full payment.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Chemical Engineer shall deliver all work-in-progress documentation, and payment shall be made for services rendered up to the termination date.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration in Bogotá D.C., Colombia, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá.
