2. Description of Procurement – Chemical Engineer Services

This Purchase Order is issued by Bayerische Industrieprozess GmbH to formally procure the professional services of a qualified Chemical Engineer for the duration of the project period specified herein. The engagement of this Chemical Engineer is required to support the design, optimization, and commissioning of a new solvent recovery and distillation unit at our primary manufacturing facility located in Germany Munich. The Chemical Engineer shall be responsible for process simulation, thermodynamic analysis, heat and mass transfer calculations, equipment sizing, safety assessments in accordance with German and European regulatory frameworks, and the preparation of detailed technical documentation for the project stakeholders.

The Chemical Engineer must hold a minimum of a Master's degree in Chemical Engineering (Diplom or M.Sc.) from an accredited German or internationally recognized university, possess at least eight (8) years of relevant industrial experience in process engineering, and demonstrate proficiency in process simulation software including Aspen Plus, HYSYS, and COMSOL Multiphysics. All work shall be performed on-site at the Bayerische Industrieprozess GmbH facility in Germany Munich, with occasional remote support permitted by prior written agreement.

5. Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Bayerische Industrieprozess GmbH (hereinafter "Buyer") and Alpine Chemical Consulting & Engineering AG (hereinafter "Supplier") for the provision of Chemical Engineer professional services at the Buyer's facility in Germany Munich.
  2. The Chemical Engineer assigned to this contract shall comply with all applicable German occupational health and safety regulations (ArbSchG, TRBS), environmental protection laws (BImSchG), and industry-specific standards (VDE, DIN, EN) in force at the time of performance.
  3. All intellectual property, process data, simulation models, and technical documentation produced by the Chemical Engineer in the course of this engagement shall become the sole property of the Buyer upon full payment.
  4. Payment shall be made in three (3) equal installments: 40% upon contract acceptance, 35% upon completion of Milestone M3, and 25% upon final acceptance of all deliverables. Payment shall be made via bank transfer to the IBAN specified in Section 1 within thirty (30) calendar days of invoice receipt.
  5. The Supplier shall maintain professional indemnity insurance with a minimum coverage of EUR 2,000,000 and public liability insurance of EUR 5,000,000 for the duration of the project in Germany Munich.
  6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination.
  7. All disputes arising from this Purchase Order shall be governed by the laws of the Federal Republic of Germany. The exclusive court of jurisdiction shall be the Local Court (Amtsgericht) or Regional Court (Landgericht) of Munich, Germany.
  8. The Chemical Engineer shall be subject to the Buyer's site access control, confidentiality protocols, and data protection policies in accordance with the GDPR (EU) 2016/679 and the German Federal Data Protection Act (BDSG).
  9. Any amendments, variations, or extensions to this Purchase Order must be documented in a written change order signed by both parties before implementation.
  10. The Supplier warrants that the Chemical Engineer assigned is fully qualified, properly licensed, and free from any conflict of interest that could compromise the integrity of the engineering deliverables.
6. Acceptance and Authorization

By signing below, both parties acknowledge and accept all terms, conditions, pricing, and scope of work outlined in this Purchase Order for the engagement of a Chemical Engineer at the Germany Munich facility. This document is valid for a period of thirty (30) days from the date of issue.
