This Purchase Order is issued by Hindustan Petrochemicals & Process Solutions Pvt. - Acceptance: This Purchase Order shall become binding upon written acceptance by the Chemical Engineer within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Commencement: The Chemical Engineer shall commence all services no later than 1 July 2025 at the buyer's premises in Okhla Industrial Area, New Delhi, India. All work shall be performed in accordance with the Indian Standards (IS) codes and the guidelines of the Bureau of Indian Standards (BIS).
- Payment Terms: Payment shall be made in three equal instalments: 30% upon acceptance of this Purchase Order, 40% upon submission of interim deliverables (Items 1 and 2), and 30% upon final acceptance of all deliverables. All payments shall be made via NEFT/RTGS to the bank account specified by the Chemical Engineer. Invoices must carry the GSTIN of the supplier and reference this Purchase Order number.
- Intellectual Property: All designs, reports, simulations, and documentation produced under this Purchase Order shall become the exclusive property of Hindustan Petrochemicals & Process Solutions Pvt. Ltd. The Chemical Engineer shall not reproduce, publish, or share any deliverables with third parties without prior written consent.
- Confidentiality: The Chemical Engineer agrees to maintain strict confidentiality regarding all proprietary process data, trade secrets, and operational information of the buyer encountered during the course of this engagement in India New Delhi. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Professional Liability and Insurance: The Chemical Engineer shall maintain professional indemnity insurance of not less than INR 50,00,000 (Fifty Lakh Rupees) for the duration of this Purchase Order. The Chemical Engineer shall be liable for any damages arising from negligence, error, or omission in the services rendered.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services satisfactorily completed up to the date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government orders, or pandemics affecting operations in India New Delhi.
- Compliance: The Chemical Engineer warrants that all services shall comply with the applicable regulations of the Ministry of Chemicals and Fertilizers, Government of India, and the Delhi Development Authority (DDA) building and industrial safety norms.
