Scope of Purchase OrderThis Purchase Order is issued by Tehran Petrochemical & Industrial Development Co. (TPIDC) to formally engage the services of a qualified Chemical Engineer and associated technical support personnel for the design, optimization, and commissioning of a new ethylene glycol production unit located in the Tehran Industrial Zone, Iran Tehran. The Chemical Engineer engaged under this Purchase Order shall be responsible for process design, heat and mass transfer calculations, reactor sizing, safety analysis, and regulatory compliance in accordance with the Iranian National Standards Organization (ISIRI) guidelines and the Ministry of Industry, Mine and Trade regulations applicable in Iran Tehran.

1. Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. All disputes arising from this Purchase Order shall be resolved through arbitration in Iran Tehran under the rules of the Tehran Regional Arbitration Center (TRAC).
2. Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of the process design and HAZOP study, and 30% upon successful commissioning and final acceptance at the Iran Tehran facility. All payments shall be processed via bank transfer to the account designated by the Service Provider.
3. Delivery & Performance: The Chemical Engineer and associated team shall commence work no later than 1 July 2025 at the designated site in Iran Tehran. The total project duration shall not exceed six (6) calendar months from the commencement date, subject to mutual written agreement for any extension.
4. Qualifications: The lead Chemical Engineer assigned under this Purchase Order must hold a minimum of a Master's degree in Chemical Engineering from an accredited institution, possess a valid professional license issued by the Iranian Engineering Organization, and demonstrate a minimum of ten (10) years of experience in petrochemical process design within Iran or internationally.
5. Intellectual Property: All process designs, simulation files, P&ID drawings, safety reports, and technical documentation produced under this Purchase Order shall become the exclusive property of TPIDC upon full payment. The Service Provider shall not reuse, reproduce, or disclose such materials without prior written consent.
6. Health, Safety & Environment: All personnel, including the Chemical Engineer team, shall comply with the occupational health and safety regulations enforced by the Ministry of Labor, Social Affairs and Housing of Iran. The work site in Iran Tehran is classified as a hazardous industrial zone, and all personnel must complete site-specific safety induction before commencing work.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting Iran Tehran.
8. Cancellation: Either party may cancel this Purchase Order with thirty (30) days' written notice. In the event of cancellation by TPIDC after work has commenced, the Service Provider shall be compensated for all work completed and materials procured up to the date of cancellation.
9. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, proprietary processes, and commercial information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Acceptance & AuthorizationBy signing below, both parties acknowledge and accept all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of Chemical Engineer professional services for the specified project in Iran Tehran. This Purchase Order is valid for a period of thirty (30) days from the date of issue, after which it shall automatically expire unless renewed in writing by both parties.
