This Purchase Order is issued by Al-Rafidain Industrial Development Company (ARIDC) to Global Chemical Engineering Solutions Ltd. (GCES) for the procurement of specialized Chemical Engineer professional services to be performed in Iraq Baghdad. The Chemical Engineer shall provide comprehensive process design, safety assessment, and operational optimization support for the ARIDC petrochemical processing facility located in the Al-Mansour Industrial Zone, Baghdad, Iraq.

The Chemical Engineer engaged under this Purchase Order shall be a licensed professional with a minimum of fifteen (15) years of experience in petrochemical process engineering, with demonstrated prior experience in operating environments within Iraq Baghdad or comparable Middle Eastern industrial settings. The Chemical Engineer must hold a valid Professional Engineer (PE) license and possess working knowledge of Iraqi industrial regulations, environmental compliance standards applicable to Baghdad, and international process safety frameworks including API, ASME, and OSHA-equivalent Iraqi Ministry of Industry and Mineral directives.

4.1 Commencement and Duration: The Chemical Engineer services under this Purchase Order shall commence no later than 1 August 2025 at the ARIDC facility in Iraq Baghdad. The engagement period is twelve (12) months, subject to renewal by mutual written agreement.

4.2 Payment Terms: Payment shall be made in three (3) equal installments of USD 157,850.00 each, due at the commencement of the engagement, at the six-month milestone, and upon final completion. All payments shall be processed via wire transfer to the account designated by GCES. Late payments shall incur a penalty of 1.5% per month as per Iraqi commercial law.

4.3 Iraqi Baghdad Site Requirements: The Chemical Engineer shall comply with all Iraqi governmental regulations, Baghdad municipal industrial codes, and site-specific safety protocols. A valid Iraqi work permit, security clearance, and health certification must be obtained prior to arrival in Iraq Baghdad. ARIDC shall facilitate all necessary governmental approvals and security arrangements within the Baghdad metropolitan area.

4.4 Deliverables: The Chemical Engineer shall submit monthly progress reports, quarterly performance evaluations, and a final comprehensive engineering report upon completion. All deliverables must be submitted in both English and Arabic to satisfy Iraqi Baghdad regulatory filing requirements.

4.5 Intellectual Property: All process designs, safety assessments, and technical documentation produced by the Chemical Engineer specifically for the Iraq Baghdad facility shall remain the exclusive property of ARIDC. GCES retains ownership of pre-existing proprietary methodologies.

4.6 Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Chemical Engineer shall complete all in-progress deliverables and provide a full handover report for the Iraq Baghdad site.

4.7 Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Iraq, with primary jurisdiction in Baghdad. Disputes shall be resolved through arbitration under the Iraqi Commercial Arbitration Law.

IMPORTANT: The Chemical Engineer assigned under this Purchase Order must be aware of the specific operational conditions in Iraq Baghdad, including seasonal temperature extremes, dust mitigation requirements for process equipment, and the necessity of coordination with the Baghdad Governorate Industrial Authority. All on-site work by the Chemical Engineer must be conducted in compliance with Iraqi labor law and the site security protocols established by ARIDC in coordination with local Baghdad authorities. The Chemical Engineer is required to carry valid international insurance coverage valid within the borders of Iraq.
