This Purchase Order is issued by Société Africaine de Traitement Chimique SARL (hereinafter referred to as the "Buyer") to formally request the professional services of a qualified Chemical Engineer and associated engineering support team for the design, optimization, and commissioning of a new industrial wastewater treatment facility located in the Vridi Industrial Zone, Abidjan, Ivory Coast. The scope of work encompasses process design, hydraulic calculations, equipment specification, safety compliance review, and on-site supervision of construction activities in accordance with the regulatory standards of the Ivory Coast Ministry of Environment and Sustainable Development.
The Chemical Engineer engaged under this Purchase Order shall hold a minimum of a Master's degree in Chemical Engineering, possess at least ten (10) years of documented experience in industrial process design within West Africa, and demonstrate familiarity with the specific regulatory framework governing chemical and industrial operations in Ivory Coast Abidjan. The Chemical Engineer shall also be responsible for preparing all technical documentation in both French and English to satisfy local regulatory requirements and international client reporting obligations.

- Scope and Deliverables: The Chemical Engineer and supporting team shall deliver all engineering documents, calculations, drawings, and reports as specified in the attached Statement of Work (Annex A). All deliverables must be submitted to the Buyer's project office in Abidjan, Ivory Coast, within the timelines stipulated in the project schedule.
- Regulatory Compliance: All work performed under this Purchase Order shall comply with the laws and regulations of the Republic of Ivory Coast, including but not limited to the Code de l'Environnement, the national standards issued by the Bureau Veritas Ivory Coast, and the specific permits required for industrial chemical operations in the Abidjan metropolitan area.
- Payment Schedule: Payment shall be made in four (4) installments: 25% upon contract signing, 30% upon completion of the design phase, 30% upon completion of on-site supervision, and 15% upon final commissioning and acceptance. All invoices shall be submitted in XOF and paid within thirty (30) calendar days of receipt via bank transfer to the vendor's account in Abidjan, Ivory Coast.
- Intellectual Property: All designs, calculations, reports, and documentation produced by the Chemical Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The vendor shall not reuse, reproduce, or disclose any proprietary information without written consent.
- Insurance and Liability: The vendor shall maintain professional indemnity insurance of no less than 50,000,000 XOF and comprehensive liability coverage for all personnel operating in Ivory Coast Abidjan throughout the duration of the engagement.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the vendor for all work completed and documented up to the termination date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within sixty (60) days, the matter shall be submitted to the competent commercial courts of Abidjan, Ivory Coast, in accordance with Ivorian law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in Ivory Coast Abidjan.
By signing below, the vendor acknowledges receipt of this Purchase Order and agrees to perform the services of the Chemical Engineer and associated engineering team as described herein, in full compliance with all terms, conditions, and regulatory requirements applicable to the project site in Abidjan, Ivory Coast.
