Scope of Engagement – Chemical Engineer Services
This Purchase Order is issued by Meridian Process Solutions Sdn. Bhd. to engage the services of a qualified Chemical Engineer for the design, optimization, and commissioning of a new petrochemical processing unit located at our facility in Malaysia Kuala Lumpur. The Chemical Engineer shall be responsible for all process engineering activities, including but not limited to process flow diagram development, heat and mass balance calculations, equipment sizing, safety and environmental compliance assessments, and on-site supervision during the commissioning phase. The engagement is governed by the terms set forth in this Purchase Order and the supplementary service agreement dated 10 June 2025.

Terms and Conditions
- This Purchase Order constitutes a binding agreement between Meridian Process Solutions Sdn. Bhd. and Apex Engineering Consultants (M) Sdn. Bhd. for the provision of Chemical Engineer professional services in Malaysia Kuala Lumpur.
- The Chemical Engineer assigned to this project must hold a valid Professional Engineer (Ir.) registration with the Board of Engineers Malaysia (BEM) and possess a minimum of ten (10) years of experience in petrochemical process engineering.
- Payment shall be made in three (3) equal instalments: 30% upon execution of this Purchase Order, 40% upon completion of the design and HAZOP phase, and 30% upon successful commissioning and handover at the Malaysia Kuala Lumpur site.
- All deliverables, including process documentation, simulation files, and safety reports, shall be submitted in both hard copy and electronic format to the project manager at our Kuala Lumpur office within five (5) business days of completion.
- The Chemical Engineer shall comply with all applicable Malaysian regulations, including the Occupational Safety and Health Act 1994 (OSHA), the Environmental Quality Act 1974, and the Petroleum Development Act 1974, as applicable to the project scope.
- Any variation or change order to the scope of this Purchase Order must be approved in writing by both parties prior to commencement of additional work. No verbal instructions shall be binding.
- The supplier warrants that all work performed by the Chemical Engineer shall be free from defects, errors, and omissions for a period of twelve (12) months from the date of final acceptance.
- Disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC). The governing law shall be the laws of Malaysia.
- The supplier shall maintain professional indemnity insurance with a minimum coverage of MYR 2,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
- All intellectual property developed specifically for Meridian Process Solutions under this Purchase Order shall vest in the company upon full payment. The Chemical Engineer retains the right to use general methodologies and pre-existing tools.
Delivery and Site Information
All on-site activities for this Purchase Order shall be conducted at the Meridian Process Solutions petrochemical facility located at Lot 45, Jalan Industri 3, Kawasan Perindustrian, 43000 Kajang, Selangor, Malaysia (within the greater Kuala Lumpur metropolitan area). The Chemical Engineer is expected to be on-site a minimum of five (5) days per week during the commissioning phase. Office-based and remote work shall be conducted from the supplier's registered office in Malaysia Kuala Lumpur.
