This Purchase Order is issued by HydroChem Industries Pvt. This Purchase Order constitutes a binding agreement between HydroChem Industries Pvt. Ltd., Kathmandu, Nepal, and Global Process Engineering Consultants for the engagement of a Chemical Engineer and related process engineering services as described herein.
The Chemical Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Chemical Engineering from a recognized institution and possess at least ten (10) years of relevant industrial experience in process design and commissioning within Nepal or equivalent international jurisdictions.
All work shall be performed at the project site located in Kathmandu, Nepal, unless otherwise agreed in writing. The Chemical Engineer shall comply with all applicable labor laws, safety regulations, and environmental codes enforced by the Government of Nepal and the Kathmandu Valley Development Authority.
Payment shall be made in Nepalese Rupees (NPR) via bank transfer to the account designated by the supplier. Payment schedule: 30% advance upon acceptance of this Purchase Order, 40% upon completion of process design and simulation deliverables, and 30% upon successful commissioning and handover in Nepal Kathmandu.
The supplier warrants that the Chemical Engineer and all supporting personnel shall maintain valid professional registration with the Nepal Engineering Council and shall carry professional indemnity insurance of not less than NPR 10,000,000 for the duration of this Purchase Order.
Any change in scope, timeline, or deliverables must be documented through a formal Change Order signed by both parties. No verbal modifications to this Purchase Order shall be recognized.
Confidentiality: All process data, proprietary formulations, and operational parameters shared under this Purchase Order shall be treated as strictly confidential. The Chemical Engineer shall not disclose any information to third parties without prior written consent from HydroChem Industries Pvt. Ltd., Kathmandu, Nepal.
Dispute resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Nepal Arbitration Act, 1995, with the seat of arbitration in Kathmandu, Nepal.
This Purchase Order is governed by the laws of the Kingdom of Nepal. The venue for any legal proceedings shall be the courts of competent jurisdiction in Kathmandu, Nepal.
The supplier shall submit weekly progress reports to the Procurement Manager at HydroChem Industries, Kathmandu, detailing the Chemical Engineer's activities, milestones achieved, and any risks or delays encountered.

All deliverables under this Purchase Order shall be submitted to the designated project office in Kathmandu, Nepal. Acceptance of deliverables shall be confirmed in writing within seven (7) working days of submission. Failure to provide written rejection within this period shall constitute deemed acceptance. The Chemical Engineer shall ensure that all documentation is submitted in both English and Nepali where required by local regulatory authorities in Nepal Kathmandu.
