1. Description of PurchaseThis Purchase Order is issued by Meridian Process Solutions Ltd to Apex Engineering Talent Group Ltd for the recruitment, placement, and initial engagement of a qualified Chemical Engineer to support ongoing process optimisation and plant operations at our primary manufacturing facility located in the Manukau Industrial Estate, New Zealand Auckland. The Chemical Engineer shall be responsible for overseeing reactor performance, managing process safety compliance in accordance with New Zealand Health and Safety at Work Act 2015, and leading continuous improvement initiatives across the production line. This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the engagement of the Chemical Engineer for the specified contract period.

The Chemical Engineer engaged under this Purchase Order shall perform the following duties at the Meridian Process Solutions facility in New Zealand Auckland:
- Conduct detailed process audits and identify opportunities for efficiency gains in the chemical production line.
- Ensure all plant operations comply with the New Zealand Environmental Protection Authority (EPA) regulations and local Auckland Council bylaws regarding emissions and waste management.
- Develop and maintain Standard Operating Procedures (SOPs) for all chemical handling, storage, and processing activities.
- Lead a team of up to six process technicians and junior engineers in the day-to-day operation of the facility.
- Prepare quarterly technical reports for the Board of Directors of Meridian Process Solutions Ltd.
- Maintain the Engineers New Zealand professional registration and complete all required CPD hours annually.
Payment for this Purchase Order shall be made in accordance with the following schedule:
- 30% deposit (NZD 21,303.75): Due upon acceptance of this Purchase Order by the vendor, payable within 10 business days via bank transfer to the account specified by Apex Engineering Talent Group Ltd.
- 40% milestone payment (NZD 28,405.00): Due upon successful placement and commencement of the Chemical Engineer at the New Zealand Auckland facility, confirmed in writing by the Meridian Process Solutions Operations Director.
- 30% final payment (NZD 21,303.75): Due upon completion of the 12-month contract management period and submission of the final performance report for the Chemical Engineer.
All payments are subject to the vendor providing a valid GST invoice. Late payments shall attract interest at the rate prescribed under the New Zealand Consumer Guarantees Act 1993.
5. Terms and Conditions5.1 This Purchase Order is governed by the laws of New Zealand and shall be interpreted in accordance with the New Zealand Auckland jurisdiction.
5.2 The vendor warrants that the Chemical Engineer placed under this Purchase Order holds a minimum of a Bachelor of Engineering (Chemical) degree from an accredited New Zealand or internationally recognised institution and is a current member in good standing of Engineers New Zealand.
5.3 The vendor shall maintain all necessary insurance coverage, including professional indemnity insurance of no less than NZD 5,000,000, for the duration of the engagement.
5.4 Meridian Process Solutions Ltd reserves the right to terminate this Purchase Order with 30 days written notice if the Chemical Engineer fails to meet the competency standards outlined in Section 3, or if the vendor fails to provide a suitable replacement within 14 business days of a termination notice.
5.5 All intellectual property developed by the Chemical Engineer during the course of this engagement shall remain the sole property of Meridian Process Solutions Ltd.
5.6 The vendor shall comply with all New Zealand Auckland employment regulations, including the Employment Relations Act 2000, the Health and Safety at Work Act 2015, and all applicable local council requirements.
5.7 Any disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Auckland before proceeding to the District Court of Auckland.
