This Purchase Order is issued by Meridian Process Solutions, Inc. to Apex Engineering & Technical Staffing Corp. for the engagement of a qualified Chemical Engineer and the procurement of associated laboratory and process equipment. The Chemical Engineer shall be deployed at our primary manufacturing and processing facility located in the Philippines Manila region, specifically within the BGC Industrial Zone in Taguig City, Metro Manila. The scope of work encompasses process optimization, quality assurance oversight, regulatory compliance management, and technical supervision of chemical production lines in accordance with Philippine Department of Environment and Natural Resources (DENR) standards and the Philippine Institute of Chemical Engineers (PICE) code of ethics.

Note: All amounts are denominated in Philippine Pesos (PHP). The Chemical Engineer engaged under this Purchase Order must hold a valid Professional Regulation Commission (PRC) license and PICE membership in good standing. All equipment deliveries shall be made to the Philippines Manila facility at BGC Industrial Zone, Taguig City, within 14 calendar days of Purchase Order acceptance.

Scope of Engagement: The Chemical Engineer shall provide full-time professional services at the buyer's facility in the Philippines Manila area. Duties include but are not limited to: process flow diagram development, reaction kinetics analysis, waste minimization strategies, environmental impact assessments, and coordination with the Philippine Department of Labor and Employment (DOLE) on occupational safety matters.
Delivery and Installation: All physical goods (laboratory equipment, PPE, software media) shall be delivered, installed, and calibrated at the Philippines Manila site. The seller is responsible for all freight, customs clearance (if applicable for imported items), and installation labor within Metro Manila.
Payment Schedule: Payment shall be made via bank transfer to the seller's designated account within thirty (30) calendar days from the date of a valid invoice. A 10% retention shall be held until final acceptance of all deliverables and the Chemical Engineer's completion of the first full quarter of service.
Warranty and Support: All equipment carries a minimum twelve (12) month manufacturer's warranty. The Chemical Engineer's professional services are warranted to meet the standards set by the Philippine Institute of Chemical Engineers and applicable Philippine national standards (PNS).
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all services rendered and equipment delivered up to the termination date. The Chemical Engineer's license and PCE membership shall remain the property of the individual professional.
Compliance: The seller warrants that the Chemical Engineer engaged is duly licensed by the PRC, insured under the Philippine Social Security System (SSS), PhilHealth, and Pag-IBIG Fund, and that all engagements comply with the Labor Code of the Philippines (Presidential Decree No. 442) and the Data Privacy Act of 2012 (RA 10173).
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be resolved through arbitration in Manila, Philippines, in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
Confidentiality: The Chemical Engineer shall be bound by a non-disclosure agreement covering all proprietary process data, formulations, and trade secrets of Meridian Process Solutions, Inc. This obligation survives the termination of this Purchase Order for a period of three (3) years.

This Purchase Order constitutes a binding offer. Acceptance by the seller shall be confirmed in writing within five (5) business days of receipt. Upon mutual execution, the terms herein shall govern the engagement of the Chemical Engineer and the procurement of all listed materials for the Philippines Manila operations of Meridian Process Solutions, Inc.
