This Purchase Order is issued by Al Rayyan Industrial Solutions W.L.L. to procure the professional services of a qualified Chemical Engineer to be deployed at our petrochemical processing facility located in the Industrial Area of Qatar Doha. The engagement of this Chemical Engineer is critical to the successful completion of Phase II of our process optimization and safety compliance program. The selected Chemical Engineer shall be responsible for overseeing reactor performance analysis, process flow diagram revisions, thermodynamic modeling, and regulatory compliance with the Qatar Energy and Water Authority (QEWA) standards. All work associated with this Purchase Order shall be conducted on-site in Qatar Doha unless otherwise approved in writing by the Project Director.

1. This Purchase Order is governed by the laws of the State of Qatar and shall be interpreted in accordance with the Qatar Civil Code and applicable labor regulations as enforced by the Ministry of Labour in Doha.
2. The vendor shall ensure that all Chemical Engineer personnel engaged under this Purchase Order hold valid professional certifications recognized by the Qatar Engineers Society (QES) and possess a minimum of five (5) years of relevant experience in petrochemical or process engineering.
3. All Chemical Engineer staff must be physically present at the designated work site in Qatar Doha no later than the Required Delivery Date stated above. Failure to meet this deadline shall result in a penalty of 1.5% of the total Purchase Order value per day of delay, capped at 15%.
4. Payment terms: 30% advance upon acceptance of this Purchase Order, 40% upon successful onboarding and commencement of duties in Qatar Doha, and 30% upon satisfactory completion of the contract period. All payments shall be made via bank transfer to the vendor's designated account in Qatar.
5. The vendor is responsible for obtaining all necessary Qatar work permits, residence visas, and medical clearances for each Chemical Engineer before the start date. All associated costs are included in the line items above.
6. Confidentiality: All process data, proprietary formulations, and operational information accessed by the Chemical Engineer personnel during the course of this engagement in Qatar Doha shall remain the exclusive property of Al Rayyan Industrial Solutions W.L.L. and shall not be disclosed to any third party.
7. This Purchase Order may be terminated by either party with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for services rendered up to the termination date, less any applicable penalties.
8. Any disputes arising from this Purchase Order shall be resolved through arbitration in Doha, Qatar, in accordance with the rules of the Qatar International Arbitration Centre (QIAC).

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Chemical Engineer services in Qatar Doha. This document constitutes a binding agreement upon execution by both authorized representatives.
