This Purchase Order authorizes the procurement of specialized Chemical Engineer professional services to be performed at the Volga Industrial Processes JSC facility located at 12 Leninsky Prospekt, Moscow, Russia Moscow. The Chemical Engineer team shall deliver the following key outputs within the contract period:
- Complete process flow diagrams (PFDs) and piping and instrumentation diagrams (P&IDs) for the new processing unit.
- Detailed chemical process safety reports (HAZOP, FMEA) prepared in accordance with Russian regulatory requirements.
- Monthly progress reports submitted to the Buyer's project management office in Russia Moscow.
- Final commissioning documentation package upon completion of the six-month engagement period.
- Training sessions for in-house operational staff on the new Chemical Engineer-designed processes.
Payment shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account. The payment schedule for this Purchase Order is structured as follows:
- Advance Payment (30%): 3,004,560 RUB – due within 10 business days of Purchase Order acceptance and signing.
- Progress Payment (40%): 4,006,080 RUB – due upon completion of the third month of Chemical Engineer services and submission of interim deliverables.
- Final Payment (30%): 3,004,560 RUB – due within 15 business days of final acceptance of all deliverables and completion of the contract term.
All invoices must reference this Purchase Order number (PO-2025-RM-04782) and include the Supplier's INN and KPP details as required by Russian tax law.
- This Purchase Order is governed by the Civil Code of the Russian Federation and applicable commercial legislation in force in Russia Moscow.
- The Supplier warrants that all Chemical Engineer personnel assigned to this contract hold valid professional certifications, relevant degrees in chemical engineering, and the necessary work permits for employment in Russia Moscow.
- All work performed under this Purchase Order shall comply with applicable Russian federal and municipal regulations, including but not limited to occupational health and safety standards (Trudovoy Kodeks RF) and environmental protection laws.
- The Supplier shall maintain comprehensive professional liability insurance coverage of no less than 15,000,000 RUB for the duration of the engagement.
- Confidentiality: All proprietary process data, trade secrets, and technical documentation shared in connection with this Purchase Order shall be treated as strictly confidential by the Chemical Engineer team and shall not be disclosed to third parties without written consent from the Buyer.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order resulting from events beyond reasonable control, including natural disasters, government sanctions, or civil unrest affecting the Russia Moscow region.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the Arbitration Court of the City of Moscow, Russia Moscow.
- This Purchase Order becomes effective upon signature by both parties and remains valid until full performance of all obligations or until 14 September 2025, whichever occurs first.
All Chemical Engineer personnel shall report to the Buyer's facility at 12 Leninsky Prospekt, Moscow, Russia Moscow, no later than 08:00 Moscow Standard Time (MSK) on the first day of the contract period. The Supplier is responsible for arranging transportation, accommodation (if applicable), and site access credentials for all assigned Chemical Engineer staff. Site induction and safety briefing shall be completed prior to commencement of any engineering work.
