This Purchase Order is issued by Al-Jeddah Petrochemical Industries Co., Ltd. to procure the professional services of a qualified Chemical Engineer to support ongoing process optimization, safety compliance, and plant maintenance activities at our Jeddah manufacturing facility. The Chemical Engineer shall be engaged on a full-time contractual basis for a period of twelve (12) months, renewable upon mutual written agreement. All services shall be rendered in accordance with the Saudi Standards, Metrology and Quality Organization (SASO) regulations and the applicable codes of the Saudi Arabian Standards Organization.

• Payment shall be made in Saudi Riyals (SAR) via bank transfer to the vendor's designated account in Jeddah, Saudi Arabia.
• Monthly invoices for recurring services (Items 1, 3, 4, and 6) shall be submitted by the 5th of each month for the preceding month's work. Payment is due within thirty (30) calendar days of invoice receipt.
• Lump-sum deliverables (Items 2 and 5) shall be invoiced upon written acceptance of the deliverable by the Buyer's Project Director in Jeddah. Payment is due within forty-five (45) calendar days of acceptance.
• A retention of five percent (5%) shall be withheld from each monthly payment and released in full upon satisfactory completion of the entire contract term.
• All payments are subject to the terms outlined in this Purchase Order and the Master Service Agreement dated 01 March 2025.

• The Chemical Engineer assigned to this Purchase Order must hold a valid Saudi Council of Engineers (SCE) professional license and a recognized bachelor's or master's degree in Chemical Engineering from an accredited institution.
• The vendor shall ensure the Chemical Engineer complies with all Saudi Arabian labor laws, including the Saudization (Nitaqat) requirements applicable to the Jeddah industrial sector.
• All work performed under this Purchase Order shall be conducted at the Buyer's facility located in the Jeddah Industrial Zone, Kingdom of Saudi Arabia, or at such other location within Saudi Arabia Jeddah as mutually agreed in writing.
• The vendor shall maintain professional indemnity insurance with a minimum coverage of SAR 2,000,000, valid throughout the contract term, naming the Buyer as an additional insured party.
• Confidentiality: All proprietary process data, formulations, and operational information accessed by the Chemical Engineer during the course of this engagement shall remain the exclusive property of the Buyer. A Non-Disclosure Agreement (NDA) is incorporated by reference.
• Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered up to the effective date of termination.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Jeddah, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA).
• This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. The venue for any legal proceedings shall be the competent courts in Jeddah.
