This Purchase Order is issued by Meridian Process Solutions Pte. Ltd. (hereinafter referred to as the "Buyer") to Apex Engineering Consultants (Singapore) Pte. Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Chemical Engineer to provide specialised process design, safety assessment, and operational optimisation services. All services rendered under this Purchase Order shall be performed in accordance with the regulatory standards and professional guidelines applicable within Singapore Singapore, including but not limited to the requirements of the Singapore Department of Standards (Standards, SingStat, Enterprise and Development), the Workplace Safety and Health Department (WSHD), and the Professional Engineers Board (PEB) of Singapore Singapore.

The Chemical Engineer engaged under this Purchase Order shall hold a valid Professional Engineer (PE) registration with the PEB of Singapore Singapore and shall possess a minimum of ten (10) years of post-qualification experience in petrochemical process design, reactor engineering, and environmental compliance. The Chemical Engineer shall be responsible for the following scope of work as detailed in Section 3 of this Purchase Order.

4.1 This Purchase Order is governed by and shall be construed in accordance with the laws of Singapore Singapore. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Singapore International Arbitration Centre (SIAC) in Singapore Singapore, in accordance with its rules of arbitration in force at the time of the dispute.

4.2 The Supplier warrants that the Chemical Engineer assigned to this Purchase Order shall maintain all necessary professional registrations, insurance coverage, and safety certifications required for the performance of engineering services in Singapore Singapore throughout the entire contract period.

4.3 All intellectual property, designs, calculations, reports, and documentation produced by the Chemical Engineer in the course of fulfilling this Purchase Order shall become the sole property of the Buyer upon full payment. The Supplier shall not reproduce, distribute, or utilise such materials for any other client or purpose without the prior written consent of the Buyer.

4.4 The Supplier shall ensure that the Chemical Engineer complies with all applicable workplace safety regulations as enforced by the WSHD of Singapore Singapore, including mandatory safety inductions, personal protective equipment (PPE) requirements, and confined space entry protocols when working on-site.

4.5 Payment shall be made in Singapore Dollars (SGD) via bank transfer to the account designated by the Supplier. Invoices shall be submitted at the completion of each milestone as outlined in Section 3. Late payments shall attract interest at the rate of 1.5% per month, in accordance with the Interest on Late Payment of Business Debts Act of Singapore Singapore.

4.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and expenses incurred by the Chemical Engineer up to the date of termination, as certified by the Supplier.

Notice: The Chemical Engineer engaged under this Purchase Order shall be bound by the Professional Engineers Act (Cap. 205) of Singapore Singapore and shall adhere to the Code of Professional Conduct issued by the PEB. All engineering deliverables must be stamped and signed by a registered Professional Engineer (PE) in Singapore Singapore before submission to the Buyer. Failure to comply with these regulatory requirements shall constitute a material breach of this Purchase Order.

Furthermore, the Supplier acknowledges that all work performed under this Purchase Order within the territory of Singapore Singapore is subject to the Environmental Protection and Management Act, the Factories and Industrial Undertakings Act, and any relevant guidelines issued by the Enterprise Singapore and the Singapore Productivity and Innovation Board. The Chemical Engineer shall ensure that all process designs and safety assessments are consistent with the latest editions of these statutes and subordinate legislation in force in Singapore Singapore at the time of delivery.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This Purchase Order constitutes a binding agreement for the procurement of Chemical Engineer professional services in Singapore Singapore and shall remain in full force and effect until the completion of all deliverables and the final payment have been satisfactorily concluded.
