This Purchase Order is issued by Atlantic Process Solutions (Pty) Ltd, a process engineering firm headquartered in South Africa Cape Town, to engage the services of a qualified Chemical Engineer for the design, optimisation, and commissioning support of a new chemical processing facility located in the industrial precinct of Milnerton, Cape Town. The Chemical Engineer engaged under this Purchase Order shall deliver the following to the project office in South Africa Cape Town within the stipulated timelines:

1. Complete P&ID drawings and process flow diagrams for the ethylene glycol unit, submitted in PDF and AutoCAD DWG formats, no later than 30 July 2025.
2. A comprehensive heat and mass transfer report with validated Aspen Plus simulation files, due by 15 August 2025.
3. A HAZOP study report identifying all credible failure scenarios, risk rankings, and recommended safeguards, compliant with SANS 10400 and South African Cape Town municipal by-laws, due by 30 August 2025.
4. An Environmental Impact Assessment technical chapter addressing effluent discharge, atmospheric emissions, and noise impact for the Milnerton site, due by 15 September 2025.
5. On-site commissioning support at the South Africa Cape Town facility, including a minimum of five (5) full working days of hands-on guidance for plant operators and maintenance technicians.
6. A monthly technical advisory report for the six-month retainer period, covering process optimisation recommendations, equipment condition assessments, and regulatory compliance updates.

Payment for this Purchase Order shall be made in South African Rand (ZAR) via electronic funds transfer (EFT) to the Chemical Engineer's designated bank account. The payment schedule is as follows:

1. 30% advance payment (ZAR 198 030.00) upon acceptance of this Purchase Order.
2. 40% milestone payment (ZAR 264 040.00) upon delivery and acceptance of the HAZOP study and EIA technical report.
3. 30% final payment (ZAR 198 030.00) upon completion of the six-month advisory retainer and submission of the final project close-out report.

All invoices must reference this Purchase Order number (PO-2025-CT-0472) and must be submitted to the procurement department of Atlantic Process Solutions, Woodstock, Cape Town, South Africa. Payment will be processed within thirty (30) calendar days of receipt of a valid tax invoice.

1. This Purchase Order is governed by the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the jurisdiction of the High Court of South Africa, Cape Town Division.
2. The Chemical Engineer warrants that all services rendered shall be performed in a professional and workmanlike manner, in compliance with the Engineering Council of South Africa (ECSA) code of conduct and all applicable South African Cape Town municipal regulations.
3. The Chemical Engineer shall maintain professional indemnity insurance of no less than ZAR 5 000 000.00 for the duration of the engagement and shall provide a certificate of insurance upon request.
4. All intellectual property, designs, reports, and documentation produced under this Purchase Order shall become the sole property of Atlantic Process Solutions (Pty) Ltd upon full payment.
5. The Chemical Engineer shall comply with all health, safety, and environmental requirements at the South Africa Cape Town project site, including but not limited to the site's Safety Management System and the requirements of the Department of Employment and Labour.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Chemical Engineer shall be compensated for all services rendered up to the date of termination.
7. This Purchase Order does not constitute a guarantee of any specific process outcome. The Chemical Engineer's obligations are limited to the provision of professional engineering services as described herein.

This Purchase Order is issued and authorised by the undersigned on behalf of Atlantic Process Solutions (Pty) Ltd, South Africa Cape Town. The Chemical Engineer's acceptance of this Purchase Order shall be confirmed in writing within five (5) business days of the date of issue.
