This Purchase Order is issued by the National Industrial Development Authority for the procurement of qualified Chemical Engineer professional services to be rendered at the NIDA Chemical Processing Facility located in Sudan Khartoum. The engagement of a senior Chemical Engineer is required to oversee, design, optimize, and commission the newly installed sulfuric acid production line and associated wastewater treatment systems. The Chemical Engineer shall be responsible for ensuring full compliance with Sudanese industrial safety regulations, environmental protection standards enforced by the Ministry of Environment and Urban Planning in Khartoum, and international best practices in chemical process engineering.
The Chemical Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Chemical Engineering from an accredited institution, possess at least ten (10) years of progressive experience in process design, plant operations, and safety management within the petrochemical or mineral processing sectors, and demonstrate prior experience working in industrial environments within Sudan or comparable arid-climate regions. Fluency in Arabic is mandatory, and working proficiency in English is required for all technical documentation and reporting.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan, specifically the Sudanese Commercial Code and applicable industrial regulations enforced in Khartoum State.
- Chemical Engineer Qualification Verification: The Service Provider shall submit certified copies of the Chemical Engineer's academic credentials, professional registration with the Sudanese Engineers Syndicate, and relevant experience certificates prior to the commencement date. Failure to provide these documents shall constitute grounds for immediate termination of this Purchase Order.
- Work Location: All services under this Purchase Order shall be performed on-site at the NIDA Chemical Processing Facility in Omdurman, Sudan Khartoum, unless otherwise agreed in writing by both parties.
- Intellectual Property: All process designs, calculations, reports, and technical documentation produced by the Chemical Engineer in the course of this engagement shall become the exclusive property of NIDA upon full payment.
- Health, Safety, and Environment: The Chemical Engineer shall strictly adhere to all occupational health and safety protocols in force at the facility. NIDA shall provide all necessary personal protective equipment (PPE) and site access credentials.
- Payment Schedule: The advance payment of 30% (USD 22,020) shall be disbursed within fourteen (14) calendar days of the signed Purchase Order. The final payment of 30% (USD 22,020) shall be made within twenty-one (21) days of the written acceptance certificate issued by NIDA.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, NIDA shall compensate the Chemical Engineer for all services rendered up to the termination date plus a 10% administrative fee.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Sudan Arbitration Centre in Khartoum.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or epidemics affecting operations in Sudan Khartoum.
- Confidentiality: The Chemical Engineer and the Service Provider agree to maintain strict confidentiality regarding all proprietary process data, trade secrets, and operational information of NIDA for a period of five (5) years following the completion of this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Chemical Engineer services in Sudan Khartoum. This document constitutes a binding agreement effective from the date of the last signature.
