This Purchase Order is issued by Anatolia Industrial Solutions A.Ş. to procure the professional services of a qualified Chemical Engineer for a period of twelve (12) months. The Chemical Engineer shall be assigned to the Turkey Ankara facility located in the Çankaya district and shall be responsible for process optimization, plant safety compliance, environmental monitoring, and technical oversight of all chemical manufacturing operations. The Chemical Engineer must hold a valid professional license issued by the Turkish Chamber of Chemical Engineers (TMMOB Kimya Mühendisleri Odası) and possess a minimum of eight (8) years of documented experience in industrial chemical process engineering.

5.1 This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier for the provision of Chemical Engineer professional services within the Turkey Ankara metropolitan area. All work shall be performed in accordance with the Turkish Code of Obligations (Türk Borçlar Kanunu) and applicable regulations of the Republic of Turkey.
5.2 The Chemical Engineer assigned under this Purchase Order shall report directly to the Plant Director at the Turkey Ankara facility. The Chemical Engineer shall maintain all required professional certifications, including but not limited to the TMMOB membership card and any sector-specific permits mandated by the Ministry of Environment, Urbanization and Climate Change of Turkey.
5.3 Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice. All payments shall be processed in Turkish Lira (TRY) via bank transfer to the account designated by the Supplier. Late payments shall accrue interest at the statutory rate determined by the Central Bank of the Republic of Turkey.
5.4 The Supplier guarantees that the Chemical Engineer engaged under this Purchase Order shall not be simultaneously assigned to any competing project within the Turkey Ankara industrial zone. A non-compete clause of twelve (12) months post-contract shall apply.
5.5 All intellectual property, process documentation, safety reports, and technical data generated by the Chemical Engineer during the term of this Purchase Order shall remain the exclusive property of Anatolia Industrial Solutions A.Ş. The Chemical Engineer shall sign a confidentiality agreement (NDA) prior to commencing work at the Turkey Ankara site.
5.6 Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Supplier shall be compensated for all services rendered up to the effective date of termination, as documented in the final Chemical Engineer progress report.
5.7 Disputes arising from this Purchase Order shall be resolved through arbitration in Ankara, Turkey, in accordance with the rules of the Ankara Arbitration Institute. The governing law shall be the laws of the Republic of Turkey.
5.8 The Supplier shall maintain professional liability insurance with a minimum coverage of TRY 5,000,000 for the duration of this Purchase Order, specifically covering the Chemical Engineer's professional activities at the Turkey Ankara facility.
6. Delivery & CommencementThe Chemical Engineer shall commence duties no later than 1 July 2025 at the Turkey Ankara plant premises. The Supplier shall ensure that the Chemical Engineer has completed all onboarding procedures, site safety inductions, and regulatory registrations required by the Ankara Metropolitan Municipality and the relevant provincial Directorate of Industry and Technology prior to the start date.
