All services under this Purchase Order shall be performed at or in connection with the buyer's premises situated in United Kingdom Birmingham, specifically at the Meridian Process Solutions manufacturing plant, Unit 14, National Innovation Centre, 1000 Colmore Row, Birmingham, B1 4BB. The Chemical Engineer is expected to travel to and from the Birmingham site as required by the project schedule. Any additional travel beyond the Birmingham metropolitan area (defined as a 25-mile radius from the city centre) shall be invoiced separately at the buyer's standard mileage rate of 45 pence per mile, in accordance with HMRC guidelines applicable in the United Kingdom.
4.1 Acceptance. This Purchase Order shall become a binding contract upon written acceptance by the Chemical Engineer (Supplier) within fourteen (14) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
4.2 Commencement and Duration. The engagement of the Chemical Engineer shall commence on 1 July 2025 and shall continue for a period of twelve (12) weeks, subject to satisfactory completion of all deliverables listed in Section 2. The work is to be carried out in United Kingdom Birmingham unless otherwise agreed in writing.
4.3 Payment Terms. Payment shall be made by BACS transfer to the account nominated by the Chemical Engineer within thirty (30) days of receipt of a valid tax invoice. Invoices must reference this Purchase Order number (PO-BHM-2025-04872) and be issued from a registered address in the United Kingdom. Late payment shall attract interest at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998.
4.4 Professional Standards and Compliance. The Chemical Engineer shall perform all duties in accordance with the standards set by the Institution of Chemical Engineers (IChemE), the Health and Safety Executive (HSE) of the United Kingdom, and all applicable local authority regulations governing industrial operations in Birmingham. The Chemical Engineer warrants that they hold a valid CEng (Chartered Engineer) registration and MIChemE (Member of the Institution of Chemical Engineers) membership, and shall maintain professional indemnity insurance of no less than £5,000,000 for the duration of this Purchase Order.
4.5 Intellectual Property. All reports, diagrams, calculations, and documentation produced by the Chemical Engineer specifically for the purposes of this Purchase Order shall become the sole property of Meridian Process Solutions Ltd. upon full payment. The Chemical Engineer retains the right to use general methodologies and pre-existing knowledge but shall not disclose any proprietary process data of the buyer.
4.6 Health, Safety, and Environment. The Chemical Engineer shall comply with all site-specific health and safety rules at the Birmingham facility, including but not limited to wearing appropriate personal protective equipment (PPE), completing the site induction, and adhering to the buyer's environmental management system. The Chemical Engineer shall report any unsafe conditions or incidents to the site manager immediately.
4.7 Termination. Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. In the event of termination, the Chemical Engineer shall be compensated for all services rendered up to the date of termination, and all work-in-progress deliverables shall be handed over to the buyer.
4.8 Governing Law and Jurisdiction. This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham, or such other court within England and Wales as may be appropriate.
4.9 Data Protection. Both parties shall comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 in the processing of any personal data exchanged in connection with this Purchase Order.
The Chemical Engineer shall submit all deliverables in electronic format (PDF and editable source files where applicable) to the buyer's procurement department. Each deliverable shall be subject to a review period of ten (10) working days. Acceptance shall be confirmed in writing by the buyer's Project Director. Revisions requested within the scope of this Purchase Order shall be completed at no additional cost to the buyer.
