1. Scope of Work: This Purchase Order authorizes Midwestern Process Engineering Group, LLC to provide the services of a qualified, licensed Chemical Engineer (or team of Chemical Engineers) for the industrial process design, environmental compliance, safety analysis, and commissioning activities described in the line items above. All work shall be performed at or in support of the Lakefront Industrial Solutions facility located in Chicago, Illinois, United States, and shall comply with all applicable federal, Illinois state, and Chicago municipal regulations.
2. Qualifications: The Chemical Engineer(s) assigned to this Purchase Order must hold a valid Illinois Professional Engineer (P.E.) license in the discipline of Chemical Engineering, possess a minimum of ten (10) years of progressive experience in petrochemical or refining process design, and be in good standing with the Illinois Department of Financial and Professional Regulation. The lead Chemical Engineer must be a registered Professional Engineer in the State of Illinois and the United States.
3. Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month. All payments shall be made in U.S. Dollars (USD) via wire transfer to the account designated by the vendor. This Purchase Order is governed by the laws of the State of Illinois and the United States.
4. Performance Schedule: Services shall commence on or before July 1, 2025, and shall be completed no later than December 15, 2025, unless otherwise extended in writing by mutual agreement. The Chemical Engineer shall provide weekly progress reports to the Project Manager at Lakefront Industrial Solutions, Chicago, Illinois.
5. Insurance and Indemnification: The vendor shall maintain, at its own expense, Commercial General Liability insurance of not less than $2,000,000 per occurrence, Professional Liability (Errors & Omissions) insurance of not less than $5,000,000, and Workers' Compensation insurance as required by Illinois law. Lakefront Industrial Solutions, Inc. shall be named as an additional insured on all policies. The vendor shall indemnify and hold harmless the buyer against any claims arising from the Chemical Engineer's negligence or willful misconduct.
6. Intellectual Property: All process designs, calculations, P&IDs, reports, and deliverables produced under this Purchase Order shall become the sole property of Lakefront Industrial Solutions, Inc. upon full payment. The Chemical Engineer shall not reuse, reproduce, or disclose proprietary process information to any third party without prior written consent.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the vendor shall be compensated for all services rendered and documented expenses incurred through the effective date of termination. Termination shall not relieve either party of obligations accrued prior to the termination date.
8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois and applicable United States federal law. Any disputes arising hereunder shall be resolved by binding arbitration in Chicago, Illinois, United States, in accordance with the rules of the American Arbitration Association.
9. Compliance: The Chemical Engineer shall comply with all applicable OSHA regulations, Illinois EPA requirements, Chicago Department of Buildings and Zoning codes, and U.S. EPA Region 5 directives. All work performed in the United States Chicago area shall adhere to local environmental and safety ordinances.
