This Purchase Order is issued by Gulf Coast Petrochemical Solutions, LLC (hereinafter referred to as the "Buyer") to Meridian Process Engineering Group, Inc. (hereinafter referred to as the "Seller") for the procurement of professional Chemical Engineer services. The Seller shall provide a qualified, licensed Chemical Engineer to perform process design, safety analysis, and operational optimization services at the Buyer's manufacturing facility located in the industrial district of Houston, Texas, United States.

The Chemical Engineer engaged under this Purchase Order shall hold a valid Professional Engineer (PE) license issued by the Texas Board of Professional Engineers, Land Surveyors, and Geologists, and shall possess a minimum of ten (10) years of demonstrated experience in petrochemical process engineering, reactor design, heat and mass transfer systems, and hazardous materials handling protocols as governed by the Occupational Safety and Health Administration (OSHA) and the Environmental Protection Agency (EPA) regulations applicable within the United States.

  1. Place of Performance: All services rendered under this Purchase Order shall be performed at the Buyer's facility in Houston, Texas, United States, or at such other locations within the Houston metropolitan area as mutually agreed upon in writing by both parties.
  2. Payment Terms: Net 30 days from the date of invoice. Payment shall be made via wire transfer to the Seller's designated bank account in the United States. Late payments shall accrue interest at a rate of 1.5% per month.
  3. Chemical Engineer Qualifications: The Seller warrants that the Chemical Engineer assigned to this Purchase Order shall maintain all required professional licenses, certifications, and insurance coverage throughout the duration of the engagement. The Buyer reserves the right to request substitution of the Chemical Engineer if performance does not meet the agreed-upon standards.
  4. Confidentiality: All proprietary process data, trade secrets, and operational information disclosed to the Chemical Engineer in the course of performing services under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer.
  5. Compliance: The Chemical Engineer shall comply with all applicable federal, state, and local laws and regulations in the United States, including but not limited to OSHA 29 CFR 1910, EPA Clean Air Act requirements, Texas Commission on Environmental Quality (TCEQ) regulations, and all Houston municipal codes governing industrial operations.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
  8. Insurance: The Seller shall maintain Commercial General Liability insurance with a minimum coverage of $2,000,000 per occurrence and Professional Liability (Errors & Omissions) insurance with a minimum coverage of $1,000,000, naming the Buyer as an additional insured.

The Chemical Engineer shall deliver all engineering deliverables, including but not limited to process flow diagrams, heat and material balance reports, safety analysis documents, and optimization recommendations, in accordance with the project schedule attached as Exhibit A to this Purchase Order. The Buyer shall have fifteen (15) business days from the date of delivery to review and accept or reject each deliverable. Rejection must be accompanied by a written statement of specific deficiencies. The Chemical Engineer shall have ten (10) business days to correct any identified deficiencies at no additional cost to the Buyer.
