1. Description of Procured ServicesThis Purchase Order is issued by Tashkent Industrial Development Corporation (hereinafter referred to as the "Buyer") to Central Asia Engineering & Consulting LLP (hereinafter referred to as the "Supplier") for the procurement of specialized professional services rendered by a qualified Chemical Engineer to be deployed and executed within the city of Tashkent, Republic of Uzbekistan. All services under this Purchase Order shall be performed by a certified Chemical Engineer holding a minimum of a Master's degree in Chemical Engineering from an accredited institution, with no fewer than eight (8) years of progressive experience in process engineering, plant operations, and regulatory compliance. The Chemical Engineer shall be physically present and stationed in Tashkent, Uzbekistan for the entire duration of the engagement. All on-site inspections, laboratory analyses, design reviews, and client meetings shall take place at the Buyer's premises located within the Tashkent Industrial Zone or at the Supplier's registered office in Yunusobod District, Tashkent. The Chemical Engineer shall comply with all applicable labor laws, visa regulations, and professional licensing requirements of the Republic of Uzbekistan as enforced by the Ministry of Industry and Innovation of Uzbekistan.
4. Payment Terms and ConditionsPayment for the services outlined in this Purchase Order shall be made in the following installments, denominated in Uzbekistan Som (UZS) and transferred via bank wire to the Supplier's designated account at a licensed commercial bank in Tashkent:
First Installment (30%): UZS 197,340,000 – payable within fifteen (15) calendar days of the signed Purchase Order and commencement of work by the Chemical Engineer in Tashkent.
Second Installment (40%): UZS 263,120,000 – payable upon successful completion and acceptance of the HAZOP Study and Process Safety Assessment deliverables.
Third Installment (30%): UZS 197,340,000 – payable upon final project closure, submission of all as-built documentation, and completion of the six-month ongoing technical support period.
Late payments shall accrue interest at a rate of 1.5% per month as stipulated under the Civil Code of the Republic of Uzbekistan. All invoices must reference this Purchase Order number (UZ-TK-CE-2025-0047) and shall be submitted in both Uzbek and English languages.
5. Terms and Conditions- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising from this Purchase Order shall be resolved through arbitration at the International Arbitration Center of the Chamber of Commerce and Industry of Uzbekistan, seated in Tashkent.
- Professional Qualification: The Supplier warrants that the assigned Chemical Engineer holds a valid professional engineering license recognized by the Uzbekistan National Engineering Council and possesses current certifications in process safety management (PSM) and environmental engineering.
- Confidentiality: The Chemical Engineer shall maintain strict confidentiality regarding all proprietary process data, trade secrets, and operational information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of UZS 500,000,000, valid throughout the term of this Purchase Order, with the Buyer named as an additional insured party.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered by the Chemical Engineer up to the date of termination, as documented in approved timesheets.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Tashkent, Uzbekistan.
- Compliance: The Chemical Engineer shall adhere to all safety protocols, environmental regulations, and industrial standards applicable in Uzbekistan, including those issued by the State Committee for Technical Supervision of Uzbekistan.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Chemical Engineer professional services in Tashkent, Uzbekistan. This document constitutes a binding agreement between the parties upon execution.
