This Purchase Order is issued by Petróleos Industriales del Caribe, C.A., a duly registered industrial corporation operating in Venezuela Caracas, for the purpose of procuring the professional services of a qualified Chemical Engineer to be deployed at our primary processing facility located in the Zona Industrial de Petare, Venezuela Caracas. The engagement of this Chemical Engineer is critical to ensuring the safe, efficient, and environmentally compliant operation of our petrochemical processing units, which handle the refinement and distribution of hydrocarbon derivatives serving the industrial sector of the Caracas metropolitan region.
The selected Chemical Engineer shall be responsible for the design, optimization, and continuous monitoring of chemical reaction processes, including but not limited to catalytic cracking, fractional distillation, and solvent extraction operations. The Chemical Engineer must hold a minimum of a Bachelor's degree in Chemical Engineering from a recognized Venezuelan university (Universidad Central de Venezuela, Universidad Simón Bolívar, or Universidad de los Andes) and possess a valid professional registration with the Colegio de Ingenieros de Venezuela. A minimum of eight (8) years of progressive experience in petrochemical or industrial chemical processing within Venezuela Caracas or the broader Venezuelan industrial corridor is required.

1. Scope and Performance: The Chemical Engineer engaged under this Purchase Order shall perform all duties in strict accordance with the technical specifications outlined in Annex A of this document. All work shall be executed at the designated facility in Venezuela Caracas unless otherwise authorized in writing by the Purchasing Entity. The Chemical Engineer shall adhere to all applicable Venezuelan industrial safety regulations, environmental codes enforced by the Ministerio del Poder Popular para Ecosocialismo, and internal company protocols.
2. Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment under this Purchase Order shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Banco Central de Venezuela. All financial transactions related to this Purchase Order shall be conducted through the banking institutions operating in Venezuela Caracas.
3. Confidentiality and Intellectual Property: All proprietary process data, chemical formulations, and operational parameters disclosed to the Chemical Engineer during the course of this engagement remain the exclusive property of Petróleos Industriales del Caribe, C.A. The Chemical Engineer shall execute a Non-Disclosure Agreement prior to commencing work at the Venezuela Caracas facility.
4. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach by the Chemical Engineer, including but not limited to failure to meet safety compliance standards or abandonment of duties, the Purchasing Entity reserves the right to terminate immediately without penalty.
5. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Venezuela Caracas.
6. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or civil unrest affecting operations in Venezuela Caracas.
Approval and AuthorizationThis Purchase Order for the procurement of Chemical Engineer services in Venezuela Caracas is hereby authorized and approved by the undersigned representatives of both parties. By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this document.
