4. Delivery & Logistics

The Supplier shall deliver all goods specified in this Purchase Order to the designated Chemist warehouse located at 42, Darulaman Road, Wazir Akbar Khan District, Afghanistan Kabul. Delivery is scheduled no later than 30 days from the date of this Purchase Order. The Supplier is responsible for all transportation, customs clearance at the Torkham or Chaman border crossing, and final delivery within Kabul city limits. All pharmaceutical products must maintain their cold chain integrity where applicable, and all items must bear valid batch numbers, manufacturing dates, and expiry dates clearly visible on packaging. The Chemist receiving team in Afghanistan Kabul will conduct a full quality inspection upon arrival and will issue a Goods Received Note within 48 hours of delivery.

5. Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Kabul Central Chemist & Pharmacy Ltd. (hereinafter referred to as the "Chemist Buyer") and MediPharm International Trading Co. (hereinafter referred to as the "Supplier") for the supply of pharmaceutical goods and equipment.
  2. All pharmaceutical products must be registered with and approved by the Ministry of Public Health of the Islamic Emirate of Afghanistan prior to importation into Afghanistan Kabul. The Supplier shall provide all necessary certificates of analysis, free sale certificates, and import permits as required by Afghan regulatory authorities.
  3. Payment shall be made within thirty (30) calendar days of the date of the Goods Received Note issued by the Chemist Buyer. Payment will be processed via bank transfer to the Supplier's designated account. In the event of currency fluctuation, the equivalent amount in Afghan Afghani (AFN) shall be calculated at the Central Bank of Afghanistan's published exchange rate on the date of payment.
  4. The Supplier warrants that all goods supplied under this Purchase Order are new, unused, of genuine origin, and free from defects. Any product found to be expired, damaged, or non-compliant upon inspection at the Chemist facility in Afghanistan Kabul shall be replaced at the Supplier's sole expense within fourteen (14) days.
  5. The Chemist Buyer reserves the right to reject any portion of the shipment that does not conform to the specifications outlined in this Purchase Order. Rejected items shall be returned to the Supplier at the Supplier's cost.
  6. Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, political instability, border closures, or government-imposed restrictions affecting trade routes into Afghanistan Kabul.
  7. This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Islamic Emirate of Afghanistan. Any disputes arising from this Purchase Order shall be resolved through amicable negotiation, and failing that, through arbitration in Kabul, Afghanistan.
  8. The Supplier acknowledges that the Chemist Buyer operates under the regulatory oversight of the Afghanistan Ministry of Public Health and the Kabul Provincial Health Directorate. All operations conducted under this Purchase Order must remain fully compliant with local pharmaceutical regulations.
  9. This Purchase Order may be amended only by written agreement signed by authorized representatives of both parties. No verbal modifications shall be considered valid.
