- This Purchase Order is issued by Dhaka Central Chemist & Pharmacy Ltd. for the procurement of pharmaceutical and medical supplies to be delivered within the Bangladesh Dhaka metropolitan area. All items must comply with the regulations set forth by the Drug Administration Bangladesh (DAB) and the Bangladesh Pharmacopoeia (BdP).
- The supplier, MediChem Bangladesh Distributors (Pvt.) Ltd., shall ensure that all chemist-grade products listed in this Purchase Order are within their expiry date by a minimum of eighteen (18) months from the date of delivery. Any product failing to meet this requirement shall be rejected at the point of receipt at the buyer's chemist facility in Banani, Dhaka.
- Delivery shall be made to the buyer's registered chemist premises located at House 42, Road 11, Banani, Dhaka 1213, Bangladesh. The supplier is responsible for all transportation costs within the Dhaka city limits and shall bear the risk of loss or damage until the goods are physically received and inspected by the buyer's authorized chemist representative.
- Payment of the total amount of BDT 1,558,100.00 (One Million Five Hundred Fifty-Eight Thousand One Hundred Taka Only) shall be processed within thirty (30) calendar days from the date of successful delivery and acceptance, via bank transfer to the supplier's designated account. The buyer reserves the right to withhold payment for any items found to be substandard, expired, or non-compliant with Bangladesh pharmaceutical regulations.
- All pharmaceutical products included in this Purchase Order must carry valid DAB registration numbers and must be accompanied by batch-specific certificates of analysis. The supplier shall provide a complete delivery challan, commercial invoice, and VAT invoice in duplicate at the time of delivery to the chemist receiving point.
- In the event of a shortage or delay in supply, the supplier must notify the buyer in writing no later than forty-eight (48) hours before the scheduled delivery date. Repeated delays exceeding five (5) business days shall entitle the buyer to cancel this Purchase Order in whole or in part without penalty.
- This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes arising from this document shall be resolved through the competent courts in Dhaka, Bangladesh. Both parties agree to attempt amicable resolution before initiating any legal proceedings.
- The supplier warrants that all items supplied under this Purchase Order are genuine, unadulterated, and manufactured in compliance with Good Manufacturing Practices (GMP) as recognized by the Bangladesh regulatory authorities. The chemist buyer reserves the right to conduct random quality checks upon receipt.
- Any modifications, amendments, or cancellations to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall hold no legal validity under this document.
