4. DELIVERY AND LOGISTICS

The Chemist shall deliver all goods listed in this Purchase Order to the designated receiving facility at Avenue Louise 245, 1050 Brussels, Belgium. Delivery must be completed no later than 28 June 2025. All pharmaceutical products requiring cold-chain storage (Items PO-04872-B and PO-04872-F) must be transported in validated temperature-controlled containers and accompanied by continuous temperature-logging records. The Chemist is responsible for all packaging, labelling, and regulatory documentation required under Belgian and European Union pharmaceutical distribution standards. Delivery within the Belgium Brussels metropolitan area is included in the quoted price; any delivery to locations outside the Brussels-Capital Region will be subject to a separate freight quotation.

5. TERMS AND CONDITIONS

5.1 Regulatory Compliance: The Chemist warrants that all pharmaceutical products supplied under this Purchase Order are manufactured, stored, and distributed in full compliance with the Belgian Federal Agency for Medicines and Health Products (AFMPS) regulations, the European Union Good Distribution Practice (GDP) guidelines, and all applicable legislation of the Brussels-Capital Region. The Chemist shall provide certificates of analysis, batch numbers, and expiry dates for every pharmaceutical item delivered.

5.2 Payment: Payment of the full amount of EUR 81,996.65 shall be made by bank transfer to the Chemist's designated account within thirty (30) calendar days of the date of the invoice, provided that all goods have been received and inspected without discrepancy. The buyer's bank is the National Bank of Belgium (NBB), Brussels. Late payments shall accrue interest at the rate prescribed by Belgian law (Article 5:105 of the Belgian Code of Economic Law).

5.3 Inspection and Acceptance: The buyer reserves the right to inspect all delivered goods within five (5) business days of receipt. Any pharmaceutical products found to be damaged, expired, mislabelled, or non-conforming to the specifications in this Purchase Order must be rejected in writing to the Chemist within the inspection period. The Chemist shall replace rejected items at no additional cost within ten (10) business days.

5.4 Intellectual Property and Confidentiality: All pricing, product specifications, and commercial terms contained in this Purchase Order are confidential. Neither party shall disclose the terms of this agreement to third parties without prior written consent, in accordance with Belgian data protection and commercial confidentiality laws applicable in Brussels.

5.5 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, epidemics, government sanctions, or supply-chain disruptions affecting the Belgium Brussels region, provided that the affected party notifies the other in writing within forty-eight (48) hours.

5.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Belgium. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Brussels, Belgium Brussels.

5.7 Chemist Obligations: The Chemist shall maintain a valid Belgian pharmacy licence and pharmaceutical distribution authorisation for the entire duration of this Purchase Order. The Chemist shall ensure that all personnel handling pharmaceutical products are appropriately trained and that all storage facilities meet the environmental and safety standards mandated by the Brussels-Capital Region authorities.
