2. PURPOSE AND SCOPE OF THIS PURCHASE ORDERThis Purchase Order is issued by Beijing Advanced Chemical Research Institute Co., Ltd. to formally request the procurement of laboratory equipment, reagents, safety apparatus, and professional consulting services required for the operation of our senior Chemist, Dr. Sophia Lin, in the Molecular Analysis Division. This Purchase Order governs all terms, conditions, delivery schedules, and payment arrangements for the goods and services listed herein. The entire transaction is to be executed within the jurisdiction of China Beijing, in full compliance with the People's Republic of China Civil Code, the PRC Product Quality Law, and all applicable local regulations of the Haidian District Municipal Government. The Chemist named in this Purchase Order will be the primary end-user and technical authority for all items procured under this document.

4.1 Payment Terms: Payment shall be made via bank transfer to the supplier's designated account in China Beijing within thirty (30) calendar days from the date of invoice issuance. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be settled upon successful delivery, installation, and acceptance of all goods by the designated Chemist, Dr. Sophia Lin.
4.2 Delivery: All goods shall be delivered to the Buyer's laboratory premises located in Haidian District, China Beijing. The supplier bears all transportation, insurance, and risk of loss until the goods are physically received and inspected by the Chemist on-site. Delivery shall be made between 09:00 and 17:00, Monday through Friday, excluding PRC public holidays.
4.3 Quality Assurance: All chemical reagents and laboratory equipment must meet or exceed the national standards of the People's Republic of China (GB standards). The Chemist, Dr. Sophia Lin, reserves the right to reject any item that does not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced within ten (10) business days at no additional cost to the Buyer.
4.4 Warranty: The supplier guarantees a minimum twelve (12) month warranty on all equipment and a six (6) month warranty on consumable items. The Chemist shall be provided with a dedicated technical support line for the duration of the warranty period, available within China Beijing business hours.
4.5 Compliance: This Purchase Order is subject to the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission in China Beijing, in accordance with its then-current rules. The governing language of this Purchase Order is English, with a Chinese translation available upon request.
4.6 Confidentiality: Both parties agree to maintain strict confidentiality regarding the contents of this Purchase Order, the identity of the Chemist, and all proprietary research methodologies associated with the procured items. This obligation survives the termination of this Purchase Order for a period of three (3) years.
4.7 Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government regulations in China Beijing, or public health emergencies, provided that the affected party notifies the other within five (5) business days.
5. AUTHORIZATION AND SIGNATURESBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of goods and services as described herein for the benefit of the Chemist and the laboratory operations in China Beijing.
