- This Purchase Order is issued by Kinshasa Chemist Distribution Ltd. and constitutes a binding request for the supply of pharmaceutical products, laboratory equipment, and Chemist operational materials as itemized above. The supplier, PharmaChem International S.A., is a licensed Chemist goods distributor operating within DR Congo Kinshasa and holds all necessary permits from the Ministry of Health of the Democratic Republic of the Congo.
- Delivery of all items listed in this Purchase Order shall be made to the Chemist warehouse located at 12 Avenue du 30 Juin, Gombe, Kinshasa, DR Congo. The supplier shall ensure that all pharmaceutical products are transported in compliance with the cold chain and storage regulations mandated by the DR Congo Kinshasa pharmaceutical authority. Delivery is expected no later than 21 June 2025.
- All pharmaceutical items must bear valid batch numbers, manufacturing dates, and expiry dates. No product with less than 18 months of remaining shelf life shall be accepted under this Purchase Order. The Chemist receiving team at the Kinshasa facility will inspect all goods upon arrival and issue a Goods Received Note within 48 hours.
- Payment shall be made within thirty (30) calendar days from the date of confirmed receipt and acceptance of goods. Payment will be processed via bank transfer to the supplier's designated account. The currency of this Purchase Order is the US Dollar (USD), and all amounts are inclusive of applicable DR Congo Kinshasa taxes unless otherwise stated.
- The supplier warrants that all products supplied under this Purchase Order meet the quality standards set by the Congolese Agency for Medicines and Health Products (ACPM) and are fit for dispensing by a registered Chemist in DR Congo Kinshasa. Any product found to be substandard, expired, or improperly labeled shall be returned at the supplier's cost.
- This Purchase Order is subject to the commercial laws of the Democratic Republic of the Congo. Any disputes arising from the execution of this document shall be resolved through the commercial courts of Kinshasa, DR Congo. Both parties agree to attempt good-faith negotiation before initiating any legal proceedings.
- The supplier acknowledges that the Chemist operations in DR Congo Kinshasa are subject to periodic inspections by the Ministry of Health. The supplier shall provide all necessary certificates of origin, import permits, and regulatory documentation to support the Chemist's compliance with local and national pharmaceutical regulations.
- Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. Any amendments to this Purchase Order must be documented in a written addendum signed by both the Chemist procurement officer and the supplier's authorized representative.
- This Purchase Order shall remain valid for thirty (30) days from the date of issue. If the supplier does not confirm acceptance in writing within fourteen (14) days, this Purchase Order shall be considered void and may be reissued to an alternative Chemist supplier in DR Congo Kinshasa.
