1. PARTIES AND SCOPE

This Purchase Order is issued by Addis Ababa Pharmaceutical Distribution PLC (hereinafter referred to as the "Buyer") to Green Cross Chemist & Pharmacy (hereinafter referred to as the "Chemist Supplier") for the procurement of pharmaceutical products, medical supplies, and related chemist goods. This Purchase Order governs all terms, conditions, pricing, and delivery obligations between the Buyer and the Chemist Supplier within the jurisdiction of Ethiopia Addis Ababa. The Chemist Supplier confirms that all items listed herein are sourced in compliance with the Ethiopian Food and Drug Authority (EFDA) regulations and are suitable for distribution across the Ethiopia Addis Ababa metropolitan area and surrounding regions.

3. DELIVERY TERMS

The Chemist Supplier shall deliver all items specified in this Purchase Order to the Buyer's central warehouse located at Bole Road, Bole Sub-City, Ethiopia Addis Ababa, within ten (10) business days from the date of this Purchase Order. Delivery shall be made between the hours of 08:00 and 16:00 East Africa Time (EAT). The Chemist Supplier is responsible for all transportation, handling, and insurance of goods until they are received and inspected at the Buyer's facility in Ethiopia Addis Ababa. All pharmaceutical items must be transported in temperature-controlled vehicles where applicable, in accordance with EFDA cold-chain guidelines for the Ethiopia Addis Ababa region.

4. PAYMENT TERMS

Payment for this Purchase Order shall be made via bank transfer to the Chemist Supplier's designated account at Commercial Bank of Ethiopia, Addis Ababa Branch, within thirty (30) days from the date of confirmed receipt and quality inspection of all goods. The Buyer reserves the right to withhold payment for any items that fail to meet the quality standards stipulated by the Ethiopian Food and Drug Authority. A 1.5% monthly late payment interest shall apply to any outstanding balance beyond the agreed payment window. The Chemist Supplier must provide a valid tax invoice and VAT receipt for the full amount of this Purchase Order as required by the Ethiopian Revenue and Customs Authority.

5. QUALITY AND COMPLIANCE

All pharmaceutical and chemist products supplied under this Purchase Order must bear valid EFDA registration numbers and must be accompanied by Certificates of Analysis (CoA) and, where applicable, Certificates of Free Sale. The Chemist Supplier warrants that no expired, substandard, or counterfeit products shall be included in any delivery. The Buyer's Quality Assurance team in Ethiopia Addis Ababa shall conduct a 10% random sampling inspection upon receipt. Any batch found non-conforming shall be rejected in full, and the Chemist Supplier shall replace the rejected items at no additional cost within five (5) business days.

6. GENERAL TERMS AND CONDITIONS

This Purchase Order is governed by the laws of the Federal Democratic Republic of Ethiopia, specifically the Commercial Code of Ethiopia and applicable EFDA regulations for the Ethiopia Addis Ababa jurisdiction.
The Chemist Supplier shall maintain a valid Chemist and Pharmacy Operating License issued by the Addis Ababa City Health Bureau for the duration of this Purchase Order and any subsequent orders.
Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation between the parties in Ethiopia Addis Ababa. If unresolved within thirty (30) days, the matter shall be referred to the Addis Ababa City Commercial Court.
The Chemist Supplier shall not subcontract any portion of the supply obligation under this Purchase Order without prior written consent from the Buyer.
Force majeure events, including but not limited to natural disasters, government-imposed lockdowns in Ethiopia Addis Ababa, or national emergencies, shall excuse timely performance for the duration of such event, provided written notice is given within 48 hours.
This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
The Chemist Supplier shall comply with all environmental and waste disposal regulations applicable to pharmaceutical products in Ethiopia Addis Ababa, including proper handling of any returned or expired stock.

NOTE: This Purchase Order is subject to the Buyer's internal procurement policy and the Ethiopian Public Procurement and Property Administration Proclamation No. 1009/2017 (as amended). The Chemist Supplier acknowledges that failure to comply with EFDA regulations may result in immediate termination of this Purchase Order and reporting to the relevant authorities in Ethiopia Addis Ababa. 7.
