This Purchase Order mandates delivery of all listed items to the Chemist's registered premises at Marienplatz 7, 80331 Munich, Germany. The supplier (Apottheke am Marienplatz GmbH) shall ensure that all pharmaceutical products are transported in compliance with the German Medicines Act (Arzneimittelgesetz, AMG) and the EU Good Distribution Practice (GDP) guidelines. Temperature-sensitive items, including Insulin Glargine and vaccine carriers, must be maintained within the 2 °C to 8 °C range throughout transit. Delivery is scheduled for no later than 28 June 2025. The Chemist in Munich, Germany shall confirm receipt and inspect all goods within 48 hours of arrival. Any discrepancies in quantity, batch number, or packaging integrity must be reported to the buyer's procurement office in writing within the same 48-hour window.
- 5.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- 5.2 The Chemist (supplier) warrants that all pharmaceutical products supplied under this Purchase Order are manufactured in accordance with EU GMP (Good Manufacturing Practice) standards and hold valid marketing authorizations from the Bundesinstitut für Arzneimittel und Medizinprodukte (BfArM).
- 5.3 Payment shall be made via SEPA bank transfer to the Chemist's designated account within 30 calendar days of the invoice date. Late payments shall incur interest at the statutory rate under § 288 of the German Civil Code (BGB).
- 5.4 The Chemist in Munich, Germany is responsible for maintaining all necessary licenses, including the pharmacy operating permit issued by the Bayerisches Landesamt für Gesundheit und Lebenssicherheit, for the entire duration of this Purchase Order and any subsequent renewals.
- 5.5 The buyer reserves the right to reject any goods that do not conform to the specifications stated in this Purchase Order. Rejected items must be returned at the Chemist's expense within 10 business days.
- 5.6 All data processed in connection with this Purchase Order shall comply with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG).
- 5.7 This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
