TERMS AND CONDITIONS OF THIS PURCHASE ORDER

This Purchase Order is issued by AccraMed Pharmaceutical Distribution Ltd. (hereinafter referred to as the "Buyer") to Golden Cross Chemist & Pharmacy Ltd. (hereinafter referred to as the "Chemist Supplier") for the supply of pharmaceutical products and medical consumables as itemised above.
The Chemist Supplier shall ensure that all products listed in this Purchase Order are within their respective expiry dates, with a minimum remaining shelf life of eighteen (18) months from the date of delivery in Ghana Accra.
All pharmaceutical items must comply with the regulations set forth by the Food and Drugs Authority (FDA) of Ghana and the Ghana Pharmacy Board. The Chemist Supplier is required to provide valid batch numbers, manufacturing dates, and certificates of analysis for each product line.
Delivery of all goods under this Purchase Order shall be made to the Buyer's warehouse located at 12 Independence Avenue, Osu, Accra, Ghana. The Chemist Supplier shall bear all costs associated with transportation within the Accra metropolitan area, including fuel, vehicle maintenance, and any applicable road tolls.
The Chemist Supplier shall deliver the complete order within seven (7) calendar days from the date of acceptance of this Purchase Order. Partial deliveries are not permitted unless expressly agreed in writing by the Buyer's procurement officer.
Payment shall be made within thirty (30) days of the date of successful delivery and acceptance of goods. Payment will be processed via bank transfer to the Chemist Supplier's designated account. The Buyer reserves the right to withhold payment for any items found to be substandard, expired, or not conforming to the specifications stated in this Purchase Order.
The Chemist Supplier warrants that all products supplied are genuine, unadulterated, and sourced from licensed manufacturers. Any counterfeit or substandard products discovered after delivery shall be returned at the Chemist Supplier's sole expense, and the Buyer shall be entitled to a full refund of the corresponding amount within five (5) business days.
This Purchase Order is governed by the laws of the Republic of Ghana. Any disputes arising from this Purchase Order shall be resolved through arbitration in Accra, Ghana, in accordance with the Arbitration Act, 1968 (Act 30) as amended.
The Chemist Supplier shall maintain adequate insurance coverage for all goods in transit within Ghana Accra and its environs. In the event of loss, damage, or theft during delivery, the Chemist Supplier shall be fully liable for replacement or compensation.
This Purchase Order shall not be considered binding until signed and stamped by both the authorised representative of the Buyer and the Pharmacist-in-Charge of the Chemist Supplier. Amendments to this Purchase Order must be made in writing and signed by both parties.
The Chemist Supplier acknowledges that this Purchase Order is subject to the Buyer's internal procurement policies and the regulatory framework of the Ministry of Health, Ghana. The Chemist Supplier agrees to cooperate fully with any inspections or audits conducted by the Buyer or relevant Ghanaian regulatory authorities.

NOTE: The Chemist Supplier is reminded that all controlled substances and prescription-only medicines included in this Purchase Order must be accompanied by valid prescription authorisations and must be transported in compliance with the Narcotics Control Act, 2016 (Act 920) of Ghana. Failure to comply will result in immediate termination of this Purchase Order and referral to the relevant law enforcement agencies in Accra, Ghana. AUTHORISATION AND ACCEPTANCE
