- This Purchase Order constitutes a binding procurement agreement between the Chemist (Buyer) and the Supplier for the supply of pharmaceutical and medical products as itemised above. All transactions are governed by the laws of the Republic of India, with jurisdiction vested in the courts of Bangalore, Karnataka.
- The Supplier shall deliver all goods to the Chemist's premises located in India Bangalore within seven (7) working days from the date of this Purchase Order. Delivery shall be made DAP (Delivered at Place) to the Chemist's warehouse at Indiranagar, Bangalore.
- All pharmaceutical products supplied under this Purchase Order must comply with the Drugs and Cosmetics Act, 1940, and the rules framed thereunder. The Supplier shall provide valid Drug Manufacturing Licenses, batch test reports, and certificates of analysis for every consignment delivered to the Chemist.
- Payment shall be made by the Chemist via NEFT/RTGS to the Supplier's designated bank account within thirty (30) days from the date of invoice, subject to satisfactory inspection and acceptance of goods at the Chemist's receiving dock in India Bangalore.
- The Chemist reserves the right to reject any consignment that is damaged, expired, sub-standard, or does not match the specifications stated in this Purchase Order. Rejected items shall be returned to the Supplier at the Supplier's cost within five (5) working days.
- The Supplier warrants that all products are free from defects, are manufactured under Good Manufacturing Practice (GMP) standards, and carry a minimum shelf life of not less than eighteen (18) months from the date of delivery to the Chemist.
- Any dispute arising out of or in connection with this Purchase Order shall be resolved through arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.
- This Purchase Order is valid for a period of thirty (30) days from the date of issue. If the Supplier does not confirm acceptance in writing within this period, the Chemist shall be at liberty to source the required items from an alternative distributor in India Bangalore without any liability.
- All intellectual property, product formulations, and brand names referenced in this Purchase Order remain the exclusive property of their respective manufacturers. The Chemist shall use them solely for the purpose of retail dispensing and patient care in Bangalore.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by natural disasters, government regulations, pandemics, or other events beyond reasonable control, provided that the affected party notifies the other in writing within forty-eight (48) hours.
The Supplier shall arrange cold-chain logistics for temperature-sensitive items (specifically Insulin Glargine) and shall maintain a continuous temperature log between 2°C and 8°C throughout transit within India Bangalore. The Chemist's store in-charge shall verify the temperature log upon receipt. Any deviation exceeding the permissible range shall be documented and reported to the Supplier within the same working day. The Chemist shall maintain a proper drug register as mandated by the Karnataka Drugs and Cosmetics Rules for all items received under this Purchase Order.
