- Regulatory Compliance: All pharmaceutical products listed in this Purchase Order must comply with the regulations set forth by the Israeli Ministry of Health (MOL) and the Israel Drug Institute (IDI). The Chemist supplier, Dr. Yael Ben-Ami, warrants that all Schedule I and Schedule II medications are sourced from approved manufacturers and carry valid Israeli marketing authorization numbers.
- Delivery Location: All goods shall be delivered to the MediPharm Distribution warehouse located at 145 Allenby Street, Tel Aviv-Yafo, Israel. The Chemist supplier is responsible for arranging secure, temperature-controlled transport for all cold-chain items (Item #3) within the Tel Aviv metropolitan area.
- Delivery Window: The Chemist must confirm delivery scheduling no later than 48 hours prior to the Required Delivery Date. Late delivery beyond 5 June 2025 will incur a penalty of 1.5% of the Purchase Order value per calendar day, capped at 10%.
- Payment: Payment of the full Purchase Order amount shall be made via bank transfer to the Chemist's designated account within 30 calendar days of the date of invoice receipt, provided all goods have been inspected and accepted. Payment is denominated in Israeli New Shekels (ILS).
- Quality Assurance: MediPharm reserves the right to inspect all delivered goods upon arrival. Any product found to be expired, damaged, or non-conforming to the specifications in this Purchase Order will be rejected at the Chemist's expense. The Chemist must provide Certificates of Analysis (CoA) for all pharmaceutical batches.
- Storage & Handling: The Chemist supplier shall ensure that all temperature-sensitive products are maintained between 2°C and 8°C during transit. Temperature data loggers must accompany each cold-chain shipment. Failure to maintain the required temperature range voids the warranty on affected items.
- Intellectual Property & Confidentiality: All pricing, product lists, and commercial terms contained in this Purchase Order are confidential and shall not be disclosed to third parties without written consent from both MediPharm Distribution Ltd. and the Chemist supplier.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Israel Tel Aviv.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both MediPharm Distribution Ltd. and the Chemist supplier. Verbal agreements are not binding.
