Delivery Location: All goods under this Purchase Order shall be delivered to the Kyoto Chemist Supply Co., Ltd. premises located at 42-7 Nishikikoji-dori, Nakagyo-ku, Kyoto-shi, Kyoto-fu, Japan. The supplier is responsible for all transportation costs within the Kansai region up to the Kyoto store entrance.
Quality Assurance: All pharmaceutical and medical device items must comply with the Pharmaceuticals and Medical Devices Act (PMDA) regulations of Japan. The supplier shall provide certificates of analysis, lot numbers, and expiration dates for every batch delivered to the Kyoto chemist. Any item with less than 18 months of shelf life remaining at the time of delivery shall be rejected at the chemist's receiving dock.
Payment: Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of confirmed receipt and acceptance of goods at the Kyoto chemist. Late payments shall incur an interest charge of 1.5% per month as stipulated under Japanese commercial law.
Inspection & Acceptance: The Kyoto chemist's head pharmacist, Tanaka Hiroshi, or his designated deputy, shall inspect all incoming goods within five (5) business days of delivery. Any discrepancies in quantity, packaging integrity, or product condition must be reported in writing to the supplier within the same period. Unreported items shall be deemed accepted.
Regulatory Compliance: The supplier warrants that all controlled substances and prescription-only medicines included in this Purchase Order are sourced from PMDA-licensed manufacturers and distributors. The Kyoto chemist reserves the right to conduct random regulatory audits of the supplier's chain-of-custody documentation.
Force Majeure: Neither party shall be liable for delays or non-performance caused by natural disasters (including earthquakes common to the Kyoto region), government-mandated closures, or other events beyond reasonable control, provided that written notice is given within 48 hours of the event.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this order shall be resolved through the Kyoto District Court.
Confidentiality: Both parties agree to maintain the confidentiality of pricing, volumes, and commercial terms contained in this Purchase Order. This obligation survives for a period of two (2) years following the final delivery.
