Terms and Conditions of This Purchase Order
- All pharmaceutical products and chemist supplies listed in this Purchase Order must comply with the regulations set forth by the Pharmacy and Poisons Board (PPB) of Kenya. The supplier shall provide valid PPB registration certificates and batch-specific Certificate of Analysis for every consignment delivered to Nairobi.
- Delivery of all items shall be made to the Nairobi Chemist main warehouse located along Mombasa Road, Nairobi, Kenya, between 08:00 and 16:00 hours on the required delivery date. Late delivery beyond the stipulated date shall attract a penalty of 1.5% of the total Purchase Order value per day of delay.
- Payment shall be processed via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of a valid invoice, subject to satisfactory inspection and acceptance of all goods at the Nairobi Chemist receiving facility.
- The supplier warrants that all chemist products are within their full shelf life, with a minimum of eighteen (18) months remaining at the point of delivery in Nairobi. Any product found to be expired, damaged, or substandard shall be rejected at no cost to Nairobi Chemist & Pharmaceutical Supplies Ltd.
- This Purchase Order is governed by the laws of the Republic of Kenya. Any disputes arising from the execution of this order shall be resolved through arbitration in Nairobi in accordance with the Arbitration Act, 1995 of Kenya.
- The supplier shall bear full responsibility for the safe transport of all pharmaceutical and chemist supplies within Nairobi and the wider Kenya region, including compliance with all Kenya Revenue Authority (KRA) customs and excise requirements where applicable.
- Nairobi Chemist & Pharmaceutical Supplies Ltd. reserves the right to modify, amend, or cancel this Purchase Order in whole or in part by written notice to the supplier, provided such notice is given no fewer than five (5) business days prior to the required delivery date.
- All goods must be accompanied by a detailed delivery note, invoice, PPB import permits (where applicable), and a signed quality assurance declaration from the supplier's quality control department based in Nairobi, Kenya.
- This Purchase Order constitutes the entire agreement between Nairobi Chemist & Pharmaceutical Supplies Ltd. and East Africa Pharma Distribution Ltd. regarding the procurement of the specified chemist and pharmaceutical products, superseding all prior negotiations, representations, or agreements.
