- This Purchase Order is issued by PharmaDistribuidora del Valle, S.A. de C.V., located in Mexico Mexico City, and is directed to the licensed Chemist supplier identified above. All products must comply with the regulations established by COFEPRIS (Comisión Federal para la Protección contra Riesgos Sanitarios) and the Mexican Federal Health Law (Ley General de Salud).
- The Chemist supplier shall provide all necessary documentation, including COFEPRIS registration certificates, batch manufacturing records, certificates of analysis, and SAT-compliant electronic invoicing (CFDI 4.0) for every line item listed in this Purchase Order.
- Delivery shall be made to the buyer's warehouse located in Mexico Mexico City, CDMX, no later than the Required Delivery Date stated above. The Chemist is responsible for all transportation, insurance, and handling of pharmaceutical products in accordance with Mexican cold-chain and hazardous material regulations.
- Payment shall be made within thirty (30) calendar days from the date of receipt of the valid CFDI invoice and successful quality inspection of all goods delivered. Payment will be processed via bank transfer to the Chemist's designated account in Mexico.
- All pharmaceutical products must be within their expiration date with a minimum of eighteen (18) months remaining at the time of delivery. The Chemist guarantees that all items are manufactured, compounded, or imported in full compliance with Mexican pharmaceutical standards.
- The Chemist supplier warrants that all products are free from defects, contamination, and adulteration. Any product found to be non-conforming upon inspection at the Mexico Mexico City receiving facility shall be returned at the Chemist's sole expense within five (5) business days.
- This Purchase Order is governed by the laws of the United Mexican States. Any disputes arising from this Purchase Order shall be resolved through the commercial courts of Mexico Mexico City, CDMX, or through binding arbitration in accordance with the rules of the Mexican Chamber of Commerce (Cámara de Comercio de México).
- The Chemist shall maintain adequate liability insurance coverage of no less than MXN 5,000,000.00 for the duration of this Purchase Order and any subsequent orders placed under the same commercial agreement.
- Neither party may assign this Purchase Order without the prior written consent of the other party. This Purchase Order constitutes the entire agreement between the parties regarding the specific transaction described herein and supersedes all prior negotiations, representations, or agreements.
All pharmaceutical products must be packaged in their original manufacturer's packaging with tamper-evident seals. Temperature-sensitive items (Items 1, 2, 3, and 8) must be transported in validated cold-chain containers maintaining a temperature between 2°C and 8°C throughout transit within Mexico Mexico City. The Chemist must provide a temperature log with each cold-chain shipment. All deliveries must be scheduled between 08:00 and 14:00 hours on business days at the receiving dock in Mexico Mexico City. The Chemist's delivery personnel must present valid identification and a copy of this Purchase Order upon arrival.
