The Chemist supplier, Pacific Chemist & Pharmaceutical Supplies Ltd., shall deliver all goods listed in this Purchase Order to the Buyer's facility located at 12 K'Road, Ponsonby, Auckland 1011, New Zealand Auckland. Delivery must be completed no later than 28 June 2025 by 17:00 NZST. All hazardous materials and pharmaceutical-grade chemicals must be transported in compliance with the New Zealand Transport Agency (NZTA) Dangerous Goods Regulations and the Hazardous Substances and New Organisms (HSNO) Act 1996. The Chemist is responsible for providing all necessary Safety Data Sheets (SDS) in English for each chemical product at the time of delivery. Freight and insurance costs are included in the unit prices stated above. The delivery vehicle must be temperature-controlled for items 01 through 06, maintaining a range of 15°C to 25°C throughout transit within the New Zealand Auckland metropolitan area.
4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Chemist supplier upon written acceptance. The Chemist must confirm acceptance of this Purchase Order in writing within five (5) business days of the date of issue.
4.2 All products supplied under this Purchase Order must be of pharmaceutical or analytical grade as specified. The Chemist warrants that all goods are new, unused, and free from defects. Any product found to be substandard, expired, or not conforming to the specifications in this Purchase Order shall be returned at the Chemist's expense within fourteen (14) days of delivery.
4.3 Payment shall be made by electronic funds transfer (EFT) to the Chemist's nominated bank account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 1.5% per month as permitted under the New Zealand Consumer Guarantees Act 1993.
4.4 The Chemist shall maintain full product liability insurance with a minimum cover of NZD 5,000,000 for the duration of this Purchase Order and any subsequent supply agreements.
4.5 This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved through the District Court of New Zealand Auckland, and the parties agree to the jurisdiction of the New Zealand Auckland courts.
4.6 The Chemist shall comply with all applicable New Zealand regulations, including but not limited to the Medicines Act 1981, the Food Act 2014, and the Health and Safety at Work Act 2015, in the manufacture, storage, and delivery of all products listed herein.
4.7 The Buyer reserves the right to inspect all goods upon delivery at the New Zealand Auckland receiving facility. Acceptance of goods does not waive any rights regarding latent defects or non-conformity discovered after initial inspection.
This Purchase Order is authorised and issued by the undersigned on behalf of Auckland Regional Health Laboratories Ltd. The Chemist supplier acknowledges receipt and acceptance of this Purchase Order by signing below.
